The Annual Meeting of the Stockholders of the Ohio and riminghaulm Railroad Company was held at the office of the Company on Thurs day, January .25th, 1955, and was organized by the appointment of WILLIAM. B. FORTIS, Jr., Esq., as Chairman, and Samuel Gormly as Sec retary. The Stockholders then adjourned to Philo Hell. Urn. William Robinson, Jr., President of the Company, then presented aid rend .he Annual Report of the Directors of tho Cowpony together with a financial statement of the affairs of the company for the past year. The Report was accepted, on motion of S. Jones, Esq., andordered to be printed iu pamph let form. Mr. Lanier, of New York, then offered a series of four resolutions as follows: 1. Resolved, Thnt the Stockholders hereby in struct the Directors, not to construct Any branch - road, nor to make any_ additioeal subscription to the stock of any other company; nor to give any aid to any other road ; without the consent' of the stockholders previously obtained at a regu lar annual meeting, and after thirty days notice by newspaper publications in Pittsburgh, Phila delphia and New York.' 2. Resoled, That the Directors are hereby instructed to prevent arty new expenditures on account of construction except such as may bo absolutely necessary for the accommodation of the business of - theßoad; and for work already begun under the authority of resolutions hereto fore passed. by the Stockholders—any further work on the second track to be suspended this prohibition to continuo entiLetherwise ordered by a vote of the Stockholders, on duo notice . to be given thom to that end. 3. WHEREAS in the opinion of the Stockhol ders, it is advisable that the Board of Directors shall provide a sinking fund to retire, as fast as possible, the principal of the income bonds of this company: Therefore, we recommend to the board as follows :—That they set apart and irrev ocably pledge for the purpose aforesaid, the fol lowing assets of the company with the accumu lations of the atoms, viz: The mortgage bonds of the Ohio and Indiana Railroad Compaornow held by this compatiy,..:..., 3305,000 Stock held by this company and paid for in the Obio and Indiana Railroad compeny IW,OOO —and also the further sum of_fifty thousand dollars per year out of the revenues of the road to be paid ever by the Trustees, half-yearly; that is on each first day of February and first day of Augart, 18-It, and of each succeeding year until the said income bonds be paid etrr— That it be recommended ' to.the Board of Direc tors to appoint some suitable trustee or trustees to carry out the intent nod meaning of these in struetionw—That the trestees be instructed to advertise half-yearly in at least two newspapers in the city of New York and two in the city of Pittsburgh, that they will receive proposals for the purchase of Inconie Bonds to the extent of the money on band for that purpose and they shall invest the trust moneyin themanner afore said, by purchasing the Income Bonds at the lowest rates offered, not •excetsling par. This Is a strii king fact, of the most encouraging character, in estimating the value of the line. The Transportation expenses and repairs have amounted to $499,508 87, being about forty-five per cent. of the gross earnings, and. the net earnings have been $612,117 31—being about 11 percent- outhe cost of the road, with its present equipment; whilst more than half of this cost Is represented by Bonds bearing seven per cent. interest and having a long time to run. The Board think that the Stockholders have great reason to be satisfied with the regularity, safety' and,succeas with which the road bee been worked, and with the amount of its earnings during the past year. If the state of the money market -had been' such as the Board hoped for, there is no doubt that they would now have the pleasure of pre senting to the Btookhalders an exhibit of the most gratifying character. At the last annual meeting a resolution 'was unanimously passed by the Stockholders, author- I icing and requesting the Board to procure such additional equipment, and to lay such portions of double track as they might think beet for the interests of the company; and, acting under this authority, the Board purchased 4000 tons of Railroad Iron, and made contracts for addition al engines and care. The rapidly Increasing stringency in rho money market, soon after warned the Board that serious difficulties might he anticipated in paying for the iron thus pur chased; and they therefore sold one-half of the amount, or 2000 tons, before the great fall which has since taken place in the price of iron. The remaining 2000 tons were intended to be used in extending the double track, and laying additional sidings for the accommodation of a greatly increased freight business. The - causes which embarrassed the operations of your Board, acted with still greater force W on the Ohio and Indiana Railroad company.— That company (whose road is the direct *uteri sion of OUTII t for a distanee of 131 miles from Crestline to Fort Wayne, in the dirctian of Chi-- cage,) was unable to close up the gap in its track, for the want of about 1300 tone of Iron, which it was unable to procure. After mature delibera tion; your Board, took the responsibility of sel ling the requisite amount of iron to the Ohio and IlnlitUlS Railroad company, and taking the bonds of that company in payment for the same, at what they considered to be fair rates. They also - sldea.t.,,,.seompany in laying the iron down and sald-rthem two light locomotive engines.— The Board confidently believe that they acted wisely in this matter; and for the assistance thus rendered they received from the Ohio and In diana Railroad company $305,000, of its seven per cent bonds, which arp,now among the assets of this company. In considering this subject it will be recollected, that the Ohio and Indiana Railroad is built upon the line, pointed out by the charter of this company for the extension of its own road, to the state line of Indiana; and that that object is now practically accomplished at is smaller cost to this company, than it could have been attained in any other way. Pittsburgh is now connected with Fort Wayne-by a direct railroad communication, and an active trade has already sprung up between the two cities. This trausaction met with the approval of the late lamented Frederick Lorene, Fem., who was it that time a member of the Board of Directors, and chairman of the Finance Committee. His sudden death, from disease of the heart, which took place in October last, deprived the Board of one of its most efficient members., and the com pany of one of its largest stockholders. At the last annual meeting the Stockholders in structed the directors to proceed with the work of extending the railroad across the Allegheny river, and the Board accordingly placed rmder contract the foundations and masonry of the bridge across the riVeros short distance below theAqueduet,with .Henderson, Alston, & Co., contractors of groat experience iu similar work in this part of the country, It woo deemed very important to take advantage of the low water to put in the founda tions required in the river; and the foundations of five.eif the six piers are now in, being placed as nearly in line with the niers of the Aqueduct as the ciroulustanees of the case will permit. The experience of the past year has shown the great importance of the completion of this connection, cranoon salt may be in the power of the . Com pany to do it. The Stoikbolders also authorized the Board of Directors to contribute one hundred thousand dollars towards the construction of- the Fort Wayne and Chicago Railroad; A stock Subscrip tion of that amount has-been made, payable in die bonds of this company, upon conditions of e most satisfactory character, but none or the instalments have yet been called for or paid.' The completion of the direct lino to Chicago will, in the opinion of the Board, add ten timea the amount of this subscription to the value of year road. . The Directors were also authorized to take suph action as they might think best with regard to the construction of a branch road from Brigh ton to New Castle: They caused surreys; a lo cation, and estimates to be made, and received some proposals from contractors for the work. The result showed that the line would tie- about 2Omiles long, and would cost about half a - mil lion of dollars. It had been sup posed . that a large amount of individual subscnptions would be obtained` from persons locally interested.— This, however, did not turn out to be the case; and, after a careful review of the whole subject, the Board did not think-it wise to take any fur ther action in the matter for the -present. - In respect to the connection between Crest line and Galion, to the construction of which the stockhdders authorized the Board to contiibutev the object has been accomplished without any expense to this company; and the ears of .the Belletontaine and Indianopolis Companies how run up to CresUine; and the Ohio and Pennsyl vania, Ohio and Indiana, Cliveland and Colum bus, and Bellefontaino , and Indiana Railroad Companies all keep ticket offices in the station house of this Company at Crestline; anda large and populous town has already been erected there, by the enterprise of private Individuals. A continuous line of railroads is novella use from Pittsburgh byl.pdianapolis to Terra Haute, and thence to Vincennes, on the Wabash A large part of the line between St. Louis and Vincennes is now in use, and it is expected that the. remainder will be, in less than ex mOntbn from the present time. When this- is tfocom plished a large portion of the travel between Pittsbuigh and St. Louis, will no doubt pass over the whole length of our road; and the travel will Increase when other and shorter routes are opened across the State of Illinois: To the construction of the great extensions of our line from Crestlirie to St. Louis, this compa ny has not contributed anything ; nor_is It pro posed that it should do so. What has been contributed to the great northl western line from Crestline to Chicago, has al ready been stated In this report, This is so muCh done towards the construction of a grand -trunk to the focus of north-western railroads at Chicago; beyond which point more than 1600 miles are already in operation.
