It was organ ized at the . Crispany's Rooms, but subsequently adjourned to Philo Hall- The number of stock holders in attendance wadverylaige, and a aver interest was manifested in t4e preeeedings, whit& will be found in our noltuxuis to-day, together with the report of the President. 'The resolutions adopted, were drawn up with ' great care, :were discussed with spirit, and were generally adopted . unanimously. They are intended to throw proper guards around the interests of the stockholders, to keep up the Credit of the Company's bonds and stock, and to relieve the Company from pressing liabilities. Several gentlemen were hero from the eastern cities, and one from Germany, representing a large amount of stock held there. Mr. Listen, of the celebrated firm of Winsl.ow,.Lanier & Co., of New York, presented several of the resolu tions in regard-to the future conduct of the com pany's affairs, and also to lay the foundation of a sinking fund to redeem the income bonds.— Several gentlemen of great financial ability, deeply interested in the stock and bonds of the company, have been in the eitylor several days, advising vrith_the President and Directors, and the result of their united wisdom has been unani mously adopted by the largest meeting of stock ' holders ever assembled. The Company will no doubt derive great benefit from the measures adopted, and will-continue hereafter, as in the plat; to merit the confidence of the public, as a safe and well managed corporaticin. The new Board of Directors is a very able one. " The gentlemen compoling it are men of estab lished character, of great energy, and of excel lent business qualification& Mr. Larwill, of Wooster, who has been a Director from the com mencement of the enterprise, declined a re-elec tion in a very haralsome speech, in which he spoke very highly of G. W. Bailey, Esq., who was selected as his successor. The repOrt of the Pr]e'llaint , Iso 'very frank • and business like -.document, containing, with the report of. the Treasurer, also read,, the infor:* matron necessary for an understanding of the again of the company. There is one very pain ful item, the large defalcalion or Gen. Lorimer, the late Treasurer. - This, the report states, amounts to $95,628,01. The now regulations adopted, and the large security required of the Treasurer, will prevent any such catastrophe Upon the whole, we considex, that the Ohio an d Prorsylnnis Railroad commences its new year under most favorable auspices, and consid ering the hardness of the times, and the - great depression of Riiiiroad securities, under most flattering circumstances. _lt is one of the stron gest Railroad compazdea in the country, and its future prospects are not excelled by those of any other. Its earnings have been large, and the present condition of the track and machinery is excellent, and every day adds to its usefulness and the prospective value of the investment That it is safe, and will prove eminentlyiprOfita hie we have no doubt. - The following gentlemen were elected lA rectors Wm: Robinson, Jr., Allegheny. Jas. Marshall, do. John Swell, Pittsfrorph. Thos. Scott, do. Z. Street Sakai, Ohio. Arnold Lynch, Canton, Ohio. G. W. Bally, Wooster, Ohio. An OLD Loconorreg.—Quite a curiosity, was. exhibited at Cleveland, a few days ago, in the shape of an old loionietive lately purchased for the own of five hundred and fifty 4ollan, for the Carroll Branch Railroad, which extends' from Comollton to Oneida on the Bayard branch of ' Ci land and Pittsburgh road, a distance of ten • and aWC miles. This locomotive was original— ly purchased in England for six thousand dollars - by Mesas. Rodgera, Ketchum and Grosvenor of Patterson, Now Jersey, and used by them as a, paltern. Tan Cosecar.—Madame De Vries and her troupe were greeted, last night, with a large, fmhionable and appreciative audience. She com. meneed her own part of the entertainment with Casta Dies—that grand test of musical skill ; and the warm plaudits that followed- at every -, -paiise in the performance, showed that she had succeeded in her task most admirably. EiiXetll Or TIM Lan VIOLENT GALL—FM=IM P/OLUCITLAILS.—The gale on Sunday night last, which was so severe here, was equally violent in other sections of the country. At Philadelphia such a storm has not been experiencedlt is said, ' for many years The wind commenced to blow quite severe about nine o'clock, P. M.. and at three in the morning it was at its hoi; ,t. We gather from an account of the damage •—ne the following particulars: “The railroad bridge over the Schuylkill, in Market street, was partly unroofed, about 200 , feet of one side of it is gone. The new house building for the Shitller Hose Company, in Reed E street, four stories high, was also torn down by the wind, and fell over on the first ward school house, damaging it very seriously. The large hay press of C. Hughes on Reed street, was par tially demolished. A number of houses were unroofed, and fences, trees, Er.o., blown down.— Several oyster boats were sunk, others much damaged. Fortunately no lives were lost. Many boards from a number of board yards along the river front in the 19th ward, mere carried by the Wind to % distance of several hundred yards, and in some instances landed on the roofs of houses. The new court house at Camden, N. J., was partially unroofed, and several dwellings in the neighborhood demolished, and trees and fences levelled in all directions. At New York, trees were uprooted all over the city. A now brick dwelling belonging to Judge ikehe, on 24th street, was blown down, crushing in another, owned by John Connor, Esq. No toe rious damage was done to the shipping. The storm was accotnpanied by peals 0., thunder and vivid flashes of lightning. At Harrisburg, Pa., the gale was very severe; and at New Castle, Delaware, the new steeple of the new Presbyterian Church was blown down, and a vessel, laden with coal, sunk. In Brooklyn much damage was done. , The gable end of St. Patrick's church was blown down,-and the walls cracked. In Tarrytown, N. Y., the gale blow down the roof and rear wall of the new Roman Catholic church now being built in that place. A number of houses were also seriously damaged. At Albany the storm created quite a freshet. The river rose several feet, and on Monday mer chants were removing property from the first floors of their warehouses. Tho Hudson River Railroad was inundated in several places to such an extent as to extinguish the fires in the loco motives. .. At Boston the gale set in at on early hour on Monday morning, and continued throughout the greater portion of the day. At Richmond, :Pm, the storm was very violent. About two feet of water were blown out of the harbor. During the heighth of the storm, a chimney f@l and.crusbed in thd roof of a small house, in which Mrs. Martha Lawrence, an aged lady, and her daughter, were sleeping. ' It fell with such force as to drive their bed a foot through the floor, and when rescued from the ruins they were found to bo considerably cut and , bruised. In addition to the marine disasters mentioned under our telegraph head, wo. learn from the New York papers that the banpre Flight, from Savannah, which went ashore at New Inlet last week, could no where be seen on Monday MOTEL ing, Capt. Calhoun and eight of the crew were on board. and it is feared perished. Tho Balloon er,Pearl, from Newbern, , N. C., with naval acmes went ashore on Monday evening ot Far Rocka way, L. I. The brig Lucy Ellen, from Philadel chili. for Boston, also went ashore at Quoguc, L. Crew saved. Henn Tama—The general depression of busi ness is seriously cramping the Eastern manu facturers. The Fork Manufacturing Company at Saco, Maine has closed two large mills, and the directors of several Lowell Mills, among others, the Middlesex, Lowell, Massachusetts, and Tremont have concluded to stop a large por tion of their machinery. The Bay Stock Com pany at Lawrence recently discharged nearly ono thousand hands, and the Trcmxript expres ses a fear that the workshops of Worcester will soon have to partially suspend operations. The woollen mills throughout the country have nearly all suspended work, either whole or in part. The Trantertyt says ..It is well known that the managers of many of our , largest manufacturing establishments have been operating during the few past months, ifitot at actual loss in all cases, at least without profit to themselves, and have only been indu ced not to reduce the amount of their daily pro ducts, by a reluctance to throw their hands out of employment at so rigorous a season, and the hope that the pressure in monetary matters would be speedily lightened. Iteanume large stocks hee accumulated, and but few sales made; and en made, have been rarely, cash transactions" Tan COST or A WOISTOLIZSS ENVOT.—It is stated that the American merchants of Greytown who lost their property by the bombardment and de struction of that place. are now besieging the Executive authorities at Washington with d nten& for indemnity. President Pierce, in his annual message, spoke of these Greytown people as a sort of refugees, outlaws and pirates, not recognized by any government, nor entitled to respect- Congress has now a chance to see some specimens of the community, and judge for itself. They-are probably the most respectable awl in= telligent refugees and outlaws ever seen there. Though the administration has felt itself necessi tated to shoulder this affair, and defend it as un avoidable, yet we can scarcely believe it sincere in so doing, the more especially as the worthless I envoy, Borland, who was the prime cause of the 1 whole difficulty, has been consigned to merited 1 neglect in AI"koDEISS. Two such ambassadors as he and Boole would be.soffmient to embroil the notion in difficulties with half the civilized world. Tax WHEAT Cane IN VIIWAXIA.—It is stated that the wheat crop in the valley counties of Virginia is looking remarkably fine. No damage, has been sustained from freezing, and under the genial effects of the fine weather for the past week or more, is improving much. The Rich mond Whig says: A large quantity of wheat was a own last fall in that section of the State, bud without the in terference of the fly, joint-worm or something of the sort, an abundant harvest may be expected. .By use of guano in those counties, the wheat lands have been much improved, and the quanti ty of wheat produced greatly increased, as has bean the case elsewhere. But little of last year's wheat crop is left in that State—none scarcely for exportation. The home consumption will re quire nearly if not all that hae been retained; and it is predicted that flour will bring some thing like $lO per barrel there before next har vest. Several attempts having recently been made to rob the City Treasurers office, in Cincinnati, Mr. Johnston, the Treasuret, fixed a trap to catch the thief, by placing a trigger on the latch of the door, to which be attached a wire communi cating with a bell in the watch-house, in the further end of the building, to give notice to the officers that the Treasurer's office was again en tend,. and for them to run and arrest the depre dators. A night or two since Mr. J. feted the trigger and left the office, but forgot to take with him a pair of new boots that he had purchased during the day. At a late hour the same even ing he returned to the of f ice to get his boots, and forgetting the trap he opened the door and went in. In a moment two policemen rushed into the office, and seized the Treasurer;and hurried him to the watcb-house, where they retained him in custody over an hour. Mr. J. used every ar gument to them that he was the Treasurer, but they being recently appointed, refused to relieve him, until the Lieutenant came and released him from the "durance vile." Favoen MATIIM.—..By letters receivedin this city to the date of 21t 1i December, from Madei ra, we learn that the health of Father Mather had very much improved since his arrival at that Island. It - will be remembered that some time since Father M. was attacked with paralysis, depriving him almost entirely of the use of his voice, and the few months that ho has been en abled to rest from Ids labors in, that genial' clime has nearly restored him to health. Fath er Mathew expected to leave Madeira for Eng land in the month of May. The officers - of the United 13 tates frigate Constitution bud called to pay their respects to him at his residepce, after which he was entertained by them on board ship. lie seemed much gratified by their attention, awl spoke feelingly of the kindness with which ho was received by the Americans during his late visit to ourcountry.—Balt.
