SOME OF THE TALK ABOUT THE AFFAIR It lias been known for over a month that the Westinghouse interests have been in a bid way financially, but every effort has been made to avoid adding to the embarrass ment by undue publicity and to allow the companies time in which to get on their feet. i"or this reason no action was taken against the companies until yesterday, when the following snits were entered: The Keystone National Bank, ot Eric against the Westinghouse Electric and Manufacturing Company, a mit on a note for 32,000, Jl 84 pro test fees, and interest from January 8, 189L The note was original! giTen to the North Amer ican Construction Company, on December 5, 1590. I: passed into the hands of the Erie Citv Iton Works, and then to the bank. Casidy & Ricbard'on are the attorneys for the bank. The second suit was entered by Park Brothers fc Co- limited, against the Westin;:bor.so Elec tric and Construction Company Tor SS17 07. with interest from January 1, 1891, a suit on an ac count. D. T. Watson is the attorney for the plaintiffs. The third suit was entered by R. D. Nuttali fc Co. against the Westinghouse Elec tric and Manufacturing Company for S1.S9S 67, with interest from January 1. 1891, a suit on an account running from August 20 to December 31. O. S. Richardson is the attorney for the plaintiff. Cause of a Keconrse to the Courts. The suits were doubtless precipitated by the announcement jesterday of a statement that Chairman John Walker, of the committee hav ing in charge the fund of 516,000 raised to as sist in tidinc the company over the difficulties, bad returned the checks unused, considering it inadvisable to try to get through with so small an amount at the company's disposal. Many of the creditors are of the opinion that this ac tion was hasty, inasmuch as Mr. Westing house is in New York, and has been for two days tryinc to get assistance from that quarter. The majority of the local creditors are verv lenient, in order that these vase interests may be retained in Pittsburg. It was mainly for this reason that matters concerning the real condition of the companies were kept very quiet, and. though there was always discussion in financial circles, it was kept from the gaze of the outside world. Their Pittsburg creditors had combined and were working together in the interest of the different companies as well a in their own interests. At a meeting a committee was appointed which i composed or the following gentlemen: W. B. .McLean, J. D. Haines. Jr and W. J. Crawford. A meeting has been called for to morrow afternoon, at which all the local credi tors of the company are expected to be present. 1 his committee will in the meantime investi gate the affairs of the company as far as possi ble, and make a report at the meeting. After such action has been taken, it would tint be surprising if an assignment would be made, and we would then all have to take our chances. That is cer tainly the course that I or any other business man would pursue under the circumstances. Had the Advisory Committee but held off a lew dajs longer, the whole matter might have been fixed up. as we weregettinc along nicelv." This same gentleman declared that it is only the Westinghou'-e Electric and Manufactunne Company that is in bad condition, and all the other companies are all right. Guarding Against Future Accidents. In the Philadelphia Company there was some discussion caused by the allegation that certain officers of the company were speculating in its stocks, and that othors had been interested in contracts with the company. To get around this matter the follomnir section has hpen j added to the new by-laws, which, it is believed, will be adopted at to-day's meeting of stock holders: "All persons whose comnen'ation consists of a fixed salary, shall devote their whole time and attention to the interests of the company, unless exempted therefrom by the President or the Board of Directors. No officer, agent or employe of the company receivinc a regular compensation, and em ployed in the procurement or Inspection of supplies of materials for the company's use, or in superintending or inspecting any work for the company, shall be a contractor, or inter ested in any contract arrangement, or engage ment for furnishing such supplies and ma terials for doinc such work. " hile the purchase of the company's shares for investment, bv persons connected with the company, will be regarded with favor, specula tions in the shares of the company will not be tolerated. "No officer or agent shall be entitled to re ceiic compensation until his appointment is confirmed by the Board of Directors or Execu tive Committee." Mr. "tt cstinghouse is expected to return in time to attend the meeting of the Philadelphia Company to-da Changes In the Company's Officers. The changes in the bylans of the Philadel phia Company will aKo necessitate some chauges in the present offices. In the absence of the Secretary the Assistant Treasurer will act as Secretary. The office of General Agent will be merged into that of General Contract ing Agent. Mr. A. Cummings has been slated for the new office of Land Agent. The present mcumDents of the other offices will remain as at present. Secretary W. D. UptergralT was asked yesterday the meaning of the paragraph in the new by-laws prohibiting agents or others interested in the company acting as contractors in furnishing supnlies. '"Oh, that was put in to guard against any such business, I suppoe. The stockholders are merely looking out for all such things" was answered. " ' "But, Mr. ITptergraff, has there been such business gomjr on as the by-laws would imply?" "There have been some rumors around the building to that effect," and with this answer Mr. Uptergraff would talk no more about the matter. Mr. Bannister declared he was in no position to speak on the affairs of the company, or what w ould be the plans for the future. The committee of stockholders appointed to arrange for the selling of some of the treas ury stock of the Allegheny County light Com pany met j estcrdAy in the company's rooms in the Westinghouse building. The company was authorized a i-hnrt time ago to issue S500.000 worth of stock, but up to yesterday none of it had been sold. The company now wishes to tell $100,000 or J150.000 worth of the stock to pay off debts. Some of the Mock Subscribed Tor. Mr. T. Sproul. who was seen shortly after the meeting yesterday, said that the yearly net earnincs of the company are S7D,000,"and it was thought that by selling 1100,000 worth of stock the debt could be paid off. He was asked what part of the S100.CO0 had been subscribed, and i coiled: "A considerable portion." Another stockholder who came out of the meeting room was heard to say to his friend: "The question is whether that amount will ude them over or not," showingthatthcre was some discussion on the matter. As coated above, tl are was a general disincli nation to be quoted, but there was through the day much talk on all sides about the situation. Froni one of the most conservative of city banker who was well posted and still hoped to sec the industries go on upon i. more secure basis, the following view was obtained: "So lonjr as there was a chance that the present sit uation miciit be tided over, there has been very little criticism of the details ef the organ ization and management of the electric com pany. Everybody has been hoping that it inisht pnll through, but. the full investigation or ns affairs gave no warrant to the advisory committee of being able to arrange for its ex tension and carrying it on. It has been stated time and again, that when the company flcured with a capital of 5.000.000 less than one-fifth or that was actually paid in cash. The balance was supposed to be represented either by pat ents or contracts with other companies, or by waters based on large expectations. But the price went up in the market until at one time the stock was quoted at $60 per share. This was entirely speculative and wrought no gain to the company's tieury, however much it may nave broughtto those who got the stock low and sold it high. The result was that while the company was really doing a big busi ness and lud a big nominal capital, it was often pressed for cash or had to get its supplies largely on credit. One of the mistakes which was made by the management was In seeming to take the success in booming the stock as an evideuce of success of the company itself and to keep up expenses on an unnecessarv scale. Thus it will Do seen that the present failure of the company to promptly meet its obligations Is hardly any more of a true criterion of the value of its basinet or what may ultimately be got out of It on a hard pan, cnconomical man accinent than the rapid rise of Ju stock in the speculative market a little whiloaro wasany proof ut the company's substantial prosperity. Tho Trouble 'With the Gas Company. "Tho Advisory Board has kept very quiet, beyond sending out the formal notice that it could not see its way to using the 300,000 guar antee fund to advantage. Its members decline to talk, as they say that since they could not nse tho money, they have no right to speak; but, so far as the Electric Company is concerned, ono of the difficulties arose from the fact that there is about $2,500,000 of debt, and that the proferred stock scheme at the terms offered would ouly bring in enough to clear off about one-half of that. Tho difficulty with the gas company is that it, too, has been encumbered by Indebtedness constantly, although its re ceipts have been and are yet enormous. If there was any way of getting both these com panies down to a cash oasis, and start in clear or nearly clear, there should be no difficulty in making them durable and profitable concerns. There is a general feeling of consideration for Mr. Westinghouse, because his enterprise and energy were highly valuable to the city, but it is keenly felt all around that the futnre success of the companies depends npon eliminating stock market features and transactions by in siders. The Philadelphia Company directors seem at last to have realized this, if it is true that at their meeting on Wednesday they pro hibited stock jobbing to all officers uf the com pany, and also forbade anybody interested in the company to contract for furnishing sup plies." A Few of Those Who TTould Talk, James B. Scott said: "The action of the Ad visory Committee is by no means a surprise. It had been expected for several dajs, and, in deed, I think it the best thing it could have done. I havfeio fear of the business being dis continued if a receiver is appointed. On the contrary. I think there is an excellent oppor tunity, with the proper management, to pull the electric company tbroucb. giving the men employment all the time at full pay and with out any jar to the financial condition of the community. "There is nothing sensational in the action of the committee. It does not mean a financial blow to the city. Manya firm has been revived from financial prostration through the agency of a receiver, and I am sure the conditions for such a revival of the Westinghouse interests are favorable." Benjamin F. Fallansbee, of the same firm, while corroborating all that Mr. Scott satd. broke out in another strain: "It is a wonder to me,' said be, "that the electric company has progressed as well as it has. I have frequently heard of the company making large contracts contingent npon the satisfaction of the pur chaser. That left the way open for the pur chaser to accept the work or reject it, and in the latter case, the company must certainly Iiatk h.i.n thp liupr. Kelly, a dlrectorin the Merchants' and Manufacturers' National Bank, said: "I have known for two davs that the committee intended to return our contributions. The whole trouble was, they were afraid it would not be long until auother instalment would be asked for, to make the relief permanent. It was the universal feeling all alone that the Re ceiver plan was the only way out of the diffi culty, but Mr. Westinghouse objected, on the. ground that it would place him in a distasteful. bumiliatiug position. But there is no dishonor in his position, and I firmly believe the Electric Company will be brought out of the difficulty all right. A call was made npon A. M. flyers, but be re fused to be quoted on the subject. So did Chairman Walker, of the Advisory Committee, who declared be had nothing to say. "What Mr. WestlDghouse's Attorney Says. Paul D. Grovath, counsel for Mr. Georce Westinghouse, Jr., was seen in New York last night, and. beyond making the following state ment, refused to say anything relative to the financial condition of Mr. Westinghouse's af fairs; "The rumors recarding the financial difficulties of Mr. Westinghouse and the West inghouse Electric Company, which have been sent nut from Pittsburg during the last day or two, are very larzely exaggerated. Mr. West inghouse expects to return to Pittsburg to morrow evening, and with the assurance of as eistance, which he has recently received here, has strong hopes of relieving the Westinghouse Electric Company, which is the only one of his companies in serious financial difficulty. The reruns which have been sent out within the last day o- two are so full of errors that it would not be profitable to discuss them in detail.'- Auction Sale. I No. 203.1 AN ORDINANCE RELATING TO DOQS the licensing of and dog pounds therefor. Section 1 Be it ordained aud enacted by the City of Pittsburg, in Select and Common Councils assembled, and it is hereby ordained and enacted by tho authority of the same. That no person shall have, keep, maintain or harbor any dog or bitch within the limits of the city of Pittsburg without first having ob tained a license from the Department of Pub lic Safety of tho City of Pittsburg, as herein after provided. Section 2 The said Department of Public Safety shall from time to time givo and grant licenses to such persons as shall apply for the same, to have, keep, possess, maintain and harbor dogs or bitches within tho city of P.tts bnrg, which said license shall continue in force until tho first day of May next succeed ing, and no longer, and each pcison to whom such license shall be given shall pay therefor to the said Department of Public Safety the sum of one dollar for male dog: and two ($2) dollars for bitches. No one license shall permit the keeping r maintaining of more than one of such animals and shall contain the name and residence of the owner, the number of the license and tho name, breed, sex, age, marks and other points of identification of the animal for which such license is issued,, Every of such animals so licensed Dall have and continuously wear' around its neck a collar with a metal tag or plate having tbereoii the number of the license granted for said, animal attached thereto. which said metal tag or plateshallbe furnished to the applicant for such license by said De partment of Public Safety. Section 3 The said Department of Public Safety shall -keep a full and complete record of every license issued by it, showing the narao and residence of the person to whom said license is issued, the description and kind, together with all the marks ot Identification of the animal for which such license is Issued and the number of the said license as bereinbetore set forth. Section 4 Any person who, after tho passage of this ordinance, has, keeps, maintains or har bors any unlicensed dog or bitch witbin the corporate limits of the city ot Pittsbnrg, shall forfeit and pay the sum of five ($5) dollars for each and every offense, to be recovered before any alderman of the city of Pittsburg as debts ot the like amounts are' now by law recover able, and any person who has, keeps, maintains or harbors, or has in bis or her possession, any such unlicensed animal, shall be deemed the owner thereof and liable for tho said penalty. Any and all of such animaU formd going abroad loose or at large without having aronnd its neck the said collar, having attached thereto the said metal tar or plate as afore said, shall be prima facie deemed un licensed. Section 5 Any person whatsoever may make complaint 01 persons Having. Keeping or main taining any of such unlicensed animals at any police or patrol station, and it shall thereupon become the duty of the officer In charge of the police or patrol station to entertain and im mediately investigate the same, or cause tho same to be done, and, if the said complaint be found correct, to apprehend, imprison and im pound tho said animal as hereinafter pro vided. Section 6 The Chief of tho TlAnrtmnt nf Public Safety of the city of Pittsburg is hereby authorized, empowered aud directed to forth with provido and establish a pound, or pounc's, at such placo. Or place, within the limits of the city of Pittsburg as he may deem best, wherein he shall cause to be impounded and imprisoned all dogs and bitches that may at any time be found running at large, or loose, or going abroad in any of the public streets, lanes alleys, highway?, narks or other public nlaces within the corporate limits of the city of'Pitts burg. without being- licensed and wearing the metal tag or plate hereinberore set forth, and also to employ a pound master, or pound mas ter", and such other persons as ho may deem necessary to take charge of said pound, or pounds, apprehend, take up, capture, collect. Impound aud imprison all of said animals liable to be imprisoned and impounded, and to inforce the terms and provisions of this ordi nance. Tho compensation for such nnnml masters and persons not- to exceed the compen sation paid by said city to its patrolmen. Section? No animal impounded or impris oned as aforesaid shall be released or dis charged therefrom except by the owner thereof making demand therefor at the pound In which said animal may be Imprisoned or impounded within 48 hours after such animal was impris oned or impounder! therein, proving ownership to the satisfaction of the poundmaster. paying to him SO cents for each and every day or frac tion thereof during which such animal was im prisoned and impounded, and procuring a li cense for said animal in the maoner provided in this ordinance. Section 8 The said Chief of the Department of Public Safety shall cause all of said animals re maining in said pound or pounds for 4a hours after being imprisoned or impounded therein, without being claimed or released, as hereinbe fore provided, to be put to death in such man ner and by such means and methods as be may direct. Section 9 All of said animals liable to be imprisoned and impounded under this ordi nance shall, 'upon being taken up or appre hended be taken to tho nearest patrol station and delivered to tbo officer or person in charge thereof, and from there shall, as soon as pos sible, bo taken by the police of this city to tho nearest pound aud delivered to the pound master or person in charge thereof.
