The court hs decided against Gewen in the matter of the late Philadelphia & Reading railroad election and declares Frank S. Bend and the directors chosen at the late meeting, when Gewen declined te vote his proxies, the duly chosen officers of the read. The Decision of the Court. By Associated Press. Philadelphia, April 9. In the court of common pleas Ne. 2 this morning Jiulu'c Hare read the opinion of the court in the equity suit of McCalmont Bres., te estab lish the legality of the election for officers of the Philadelphia & Beading railroad company held March 4th. The opinion is lengthly and opens with the declaration that the main question involved is whether the eleetien was held under the fourth and fifth section or the twenty first section of the charter of the company. The meaning of the sections is reviewed, and the judge declares that all the -arguments of counsel proved that the election was certainly held under one of them. The charter imperatively provides in the fourth section that the an nual meeting of the stockholders shall be held en the second Monday in January. The fifth section provides that if it shall happen that the election of officers shall net be made it shall be law. ful te held an election any day thereafter by giving ten days notice of the time aud place thereof. These two sections arc analogous and the delayed meeting should be held at the earliest possible time. The object of the twenty-first section arc referred te and the difference between, that section which provides for special meetings and the ether is defined. The opinion closes by saying that the court is of tite opinion that the master's report of the votes of the stockholders, who held stock at least three months prier te the meeting were eligible, and that the persons re turned as elected are legally elected. This approves the election of the MuCalmeut ticket headed by Majer Frauk Bend as president. Messrs. Gewen and Jehnsen, of edit use 1 for the company, have just taken a car riage for Franklin B.
