It is worth while to cull httenliou to some proceedings in which Sir Morton has recently Soured, in order to point out certain diitercuccs between what iu the lanpiwffe of the tuif is called "public" and 'private form," and to make it clearly under stood, especially in other countries, that, though he may be a tine specimen of a certain school ot speculators. I113 methods of business are not those upon which British merchants aud capitalists generally pride themselves. When the gicat linn of contractors, Peto, Betts, and Ciampton, failed iu 1800, it waj con fidently asserted on their behalf that, though the pnnic which then prevailed rendered it im possible lor them to obtain ready money to met all demands, they had abundant resources to pay everybody in lull. All tbey wante 1 was time to realize; they had more by a million, Sir Morton l'eto said, than they owed. Since then tlKse splendid calculations have pradual'y bc;en taking another shape, and it now appears that the balance is about a million the wrong way. The liabilities of Peto, Betts Jr. Crampton were, by their own admission. 1,007,676, reckoning the debt to the London, Chatham, and Dover Company at 305,000, as admitted by the bankrupts themselves. On the other baud, the resets were represented by two thousand pounds, exclusive of property held by creditors S3 security, a sum quite insufficient, as Mr. Linklater stated, to pay tbi mtie costs of the proceedings in bankruptcy. On the relations between these aeullemenani their creditois we have no remark to make. They ertm to have kept their books properly, though the intricate relations between the two firms Of Peto & Betts, and Peto, Cramp ton & Detts rutber bewilder inexperienced outsiders, espe cially when it appears that the latter made over some 800,000 to the former, and that Mr. Crampton is one of those chi valrous, confiding creatures who never etoop to the sordid bu-ine's of examining accounts. "1 never looked at the books," said Mr. Crampton, "to sae how the firm stood. I did not interfere with the arrangements of the firm, financial or otherwise. If 1 had known the others wanted to keep money that wus duo to ni 1 should have let them keep it.? Here Indeed is a model "B. C." That the proceed ings in bankruptcy have not been carried any further may perhaps be not unreasonably attribnted to the fact that the chase was costly and the game worthless. " Whether my clients," said Mr. Linklater, on behalf of the LoudoD, Chatham, and Dover Company, "had b proof upon the proceedings for 300,000, or lor 0,t( 0,000, the result would, unfortunately, be Just the same in neither case would there be any dividend." It is in regard to the relations between Sir Morton Peto and the general public that the dis closures in the Bankruptcy Court are most sig nidcant and instructive. The principle; of the great art fend mystery of financing are here laid bare. Tbey can bent be illustrated aud explained by one or two examples. First take the caso of the A and B Metropolitan Extension Slocks. It was arranged between the directors of the Chat bam aud Dove f.nd Peto As Co. that the latter should be not only contractors but finance fluents , ot the lice, "conduit pipps," as Sir Morton aescnoea it, tor the utsposai ot stock; tna; tnetr remuneration should be in proportion to this double labor; and that they should be paid in chares at par. with 25 per cent, as commission. This was in the eummer of 1400. Before autumn this agreement underwent some rather import ant alterations. The contract prices were made 'somewhat higher," as much as 20 per ceut. higher, for example, as regards per manent way, the charge per mile being raised from 5107 to Glh0; the expres sion "at par" was omittitl, bir Morton Peto "couldu't tell why;" and the contractors engaged to pay 6 per cent. interst on the B stock, in Violation of the law prohibiting the payment of interest or dividend out of money raised or bor rowed. For the purpose of tloatfug the stock it was announced that ihe A shares were all taken, the fuel being that not one was taken, though they had been nominally sabr-cribed for; and the B ibares were accompanied by the tempting offer of guaranteed interest. And obvious inconsistency was here apparent, for if the A shares had been snapped up so eagerly, it was certainly odd that the bait of C per cent. Interest should be required to get rid ot the B enures. There were, however, people silly enough to be deceived, and the B share9 were disposed of. To achieve this result deliberate misrepresentation had to be made as to the A stock being taken, and a statutory rule had to be violated in order to provide ior the interest on the B stock. Next, tl.e A stock had to bo dlspoK'd ot, and Peto 6l Co. ugreed to take It at 37 10 pocketing, however, their 25 per cent, commission, jut-t the same as if the stock had . been at par. And this is not a singular instance of lawless ness and deception. Here is another ilagraut cane. In 1801 Peto & Co.. were in waut of luuJs. and applied to the London, Chatham & Dover Company for an issue of debentures upou which they could ratso money. It happened, however, that the company could not comply with this request, as by law the amount of debentures must bear a specitio proportion to the paid up capital. The capital necessary to justify tbo creation of debentures to tl e amount required was 125,000, and this was effected by a curious transaction between the contractors and the company. They exchanged reeeipts, the ouo in anticipation of woiks aud tho other in an ticipation of payments, but the checks were never passed through the bankers', and were not, in fact, signed. Upou the faith of tho company's receipt for shares purporting to Lave been takn by the coutractors, the cing'.Htrate gave a certificate that a eullicieut amount of capital had been paid up to warrant the issue of debentures, which were accordingly handed over to Peto & Co. Tula is as if A. and B. were to get a loan of say 100 from C , on the security ot a supposed capital of 300, while there vus in reality no other basis tor such cecurity than the exchange of checks between tho borrowers. Iu his evidence Sir Morton l'eto said: "The subscription contract ot Augut 8, 1864, was executed by myselt and partners, at the request ol the company, aud for tho same pur- popes as the former subcr!ptlon contracts (i. e., i. order to obtain a certillcatu for the issue of defeatures). I never made any pijuient at all 011 account of the link lines." In reply to a question by Mr. Linklater, as to whether he believed the aebeutures to have been legally Issued, Sir M. Peto said "he had no belief upon the subject." We imagine, however, that most people who examine thes-e transactions will have little difficulty in forming a very decided coiivlctlon on the subject, and in fiuding appro priate epithets for all parties concerned.
