Section 1. lie it enacted bv the Senate and House ot Representatives ot the Commonwealth of Pennsylvania, in (Jeneral Assembly met, and it is hereby enacted by the authority of tne same, That Charles Macalester, Alexander Henry, John Welsh, Adololi Borie, Charles Lorie, Ceorpe Trott, Matthew W. lUldwin, Isaac Lea, Samuel K. Shipley, Alfred Stille, Georae A. Wood, Joseph 15. Townsend, George M. Trout man, Charles Wheeler, William C. Kent, James W. llazlehurst, Richard Meade Rache, and their associates, shall be and are hereby constituted a body corporate and pol-tK' by the name and style of the Safe Deposit Company, ot Philadel phia, aud by that name ahull nave perpetual succession, and may sue ana oe suea in any sued in court whatsoever. Section 2. The corporation hereby created shall have power to recede upon deposit for sale-keeping, jewelry, plate, stocks, bonds, and valuables ot every kind, upon terms to De pre scribed in the by-laws ol the corporation. Section 3. The capital stock of said corpora tion shall be one hundred thousand dollars, divided into lour thousand shares of twenty-tive dollars each, and tne persons aoove named as corporators, and thetr associates, shall be com missioners whose duty it shall be (on such day and in such place in the Citv of Philadelphia as they, or a majority of them, shall appoint, giving at least fourteen da.Vb' notice thereof in two or more newspapers published in said city), to open books tor tne purpose oi receiving suoscrtntions. and to keep the same open until the whole of said stork shall have been taken up, and the said corporation shall not commence business until one-half of said capital shall have been subscribed and paid in. Section 4. The corporate powers of the cor poration shall be exercised bv a board of direc tors, and the persons above named as corpora tors, and their associates, shall elect niue ot their number to serve as directors for one year, or untu others are elected. Section 6. All elections for directors shall be by ballot, and every stockholder shall be enti tled to one vote for each share of stock held by him; the persons having a majority of votes shall be directors, and in case two or more per sons shall have an equal number ot votes, then the directors who shall have been duly elected shall by ballot determine which of said persons snail oe director or director; Din no person snail be eligible to directorship who is not a stockholder to the amount ot at least twenty snares. Section 6. The directors shall, from time to time, require the stockholders respectively to pay subscriptions on their shares at such periods and in such amounts as the directors may think proper, under the penalty lor non-compliance with such requisition of forieiting to the com pany the said snares and all previous payments thereon. Section 7. Public notice of the above-mentioned requisition shall be published at least once a week for tour successive weeks in one or morn of the newspapers of Philadelphia. Such publi cation shall be deemed stillictent notification to each stockholder aud held to constitute a sufli cient demand on him to pay his dues, aud m cast, of his. non-compliance therewith, to work the forfeiture mentioned in the preceding section section H. The said corporal .on, whonover by a vote of tho majority ol btock holders it may be judped expedient to increase the capital stock, may from time to time do so until the same amounts to five hundred thousand dollars; tho by-laws shall provide for the trausier ot stock. At the end ot the first year alter the company goes into operation a dividend payable t rora the net earning of tho corpora tion shall be declared, aud a'ti-rwards dividend payable in the same manner thall be declared half-yearlv.
