(Continued-) Are we, u municipal corporations, legally oriuur *'*7 bound to pay than bonds ? 1 believe not far tbe following reasons: t 1. X believo thomuaicipal authorities had noieon stitutional power to pledgo the property of thejcltU less for the payment of such debts. It is admitted oo all hands that the County Commissioners and {ho City Councils had no power to mnko the subserip lions and issue these bonds without an Act of; As sombly authorizing them so to do. Whether *ueh legislative enactment could give these local oalhori ties power virtually to mortgago tbo property Of alt tho citizens, as well those who opposed and protested against such proceedings as those who favored them for the payment of these bonds, is a very grave icon’ stitutional question, and ono that is notyot settled finally, fiat the whole argument does not rest on the evrisftfufionaf power of tbo CommUtlonerypp J City Councils to mako the subscriptions and tsAe the bonds. Even admitting that tho power was Con stitutionally given by tbo Acts of Assembly, still another question arises, was tho power so exercised ' as to bo legally binding upon the people * I answer it was not; and my second position is, that we' are i not legally bound Tor tbeso bonds, or some of them ' at loast, because, j 2. Somo of the subscriptions were illegally made. and some of tbo bonds illegally ittued, Xt | 8 Ba :j that the city of Pittsburgh subscription tp ihe Alio gbeny Valley Railroad was unauthorized by anv Act of Assembly. Some of the Acts of Assembly au thorized the subscriptions to be made conditionally that is. after a certain amonntof hma Me. individual Subscriptions had boen obtained, ft is Ba id y, at somo of the subscriptions had been made before the condition was complied with; and, in other eases that bogm subscriptions were made for the very nor- thus fraudulently obtaining themunlrinoi subscriptions: and that both the railroad agents and the municipal authorities were parties to these triads 3d. Somo of tho bonds were fraudulently nezo! tinted. It was a part of tbo original contort, Ibo Hove, in all the cases, that the bonds should be sold at per This was a point of vital importance to the people. If they were to be bound to wav these bonds, they bad a deep interest in requiring that they should bo sold at par,«o that the whole •urn should he expended on the road. It was, there fore, made a condition in tbo acts authorising the subscriptions. It trot one of the ground* on whiok many of the pcoplo gat e their assent to the ittuino of the Unde. The Acts of Assembly, authorising heeubscriptinns, provided for an agreement between the Municipal authorities and the Bailroad compa nies by which the Bund, should ho received ns cash and some provision made fur the payment of the interest on thorn.; , In moot, if not all Ui. case, the eontrret betwoen the partioa was, that the Railroad companies should pay the renual interest until the Bonds became due or the Ronds should be finished -No on. wit say th.t the Railroad companies could collect the interest on these Bond. We have arutn plote and perfect defence against them. Why not against soy ane holding the bond.? U.vo tho present holder, any greater rights or immunities than the first holders—tbo Railroad companies? If these Bonds are to standon the footing of Bourf., then they have no superior rights or immunities. It is only by destroying their, legal character os Bonds and converung them into oirreau/i/r noire, that lho present holders can seek protection from our c.iui ties. And. for the reasons given above, I think they cannot be so construed, but must still bo rceardod as Bonds and subject to the law respecting Bunds. Neither is thore any hardship or injustice in this Every one who buys or trades for the Bond of an individual, company or.corporation, takes it subject to any equitable defence which the maker could set up agabist the payeo or the first holder of the Bond. Nhy should tbeso Bonds bo on exception to that general rule? Although they may be made payablo t<> ••Bearer' or "Bolder," yet, on their face they Specify Tor what purposo they wore giren, and state other facts which put the purchaser upon Inquiry and which, in law, compel him to inquire into all the tacts and circumstances of tho ease, or run the hazard of any equities the makers may have. But in this case we need not resort to constructive notice. Erery Bond-holder had actual knowledge of th,» contract between the cmintyand tho Railroad com. pantce. It was a notorious fact He, a> woll os tho people, expected the railroad companies to pay this tereiL Ho looked to them fur the Interest nnd for several years received the interest from them. At tho time ho purchased his bond ho had no expecta tion of calling upon tho people for the interest. But tbo railroad companies have failed and bo Is disap pointed. So are the poople. Who is at fault, or who IS to blame? The people would never have con sented to these subscription# except on the condition that the railroad companies would pay tho interest on the bonds until tho'roads should beoompleted. When tho bonds wore isrued they thought they were protected by the express agreement on this point The people, therefore, are not in fault. If thore be a loss, then, on whom shall tho loss fait? It Is a principle of law, that of two parlies who are equally mistaken and equally innoceot, the ono who unox pectedly sustains a loss, cannot call upon the other to mako op that loss or oven sustain a part of it, un less that wot the original agreement. But in this case they are not equally innocent. Tbo people stand upon an express agreement which was made especially to protect them. The Bond-holders seek to avoid the effect of that agreement, of which thoy had actual as well as constructive notice, by over throwing legal principles which have stood untouch ed and unquestioned, as the fixed rules of property for centuries. J ' [Concluded to-morrow.] A Remarkable Etsst. —Eight sisters, the youogestmorethan sixty yean of ago, worshiped together in the South Church,'on last Sabbath, for the first time in many years. Ilcre they sal together in their ohildhoed and yonth ; here their father, a renerabie citizen who died maoy years ago, was one of the pillars of the church; and here, or rather in the old house which stood near, they were baptized in their infancy by the Rex. Dr. Hopkios of Revolutionary fame. The sisters hare long been separated in distant parts of the country, one of them having been a resi dent of Virginia, it was a memorable circum stance to meet once more together in the pew which they formerly occupied. Another inter esting fact in connection with tba meeting was that they listened to a discourse fcom their old pastor, Rev.
