IM2Z= over your pntili.bed„repert of ..the proceedirige •f the called meitintsif die Stockholders of the Ohio & Penn's Railroad Company, held 'yin! pity, March 11th, rout., I - observed the adoption of a resolution introduced by Mr. Cue, request ing the Directors to issue certificates of interest to the holders of stock of the Company, onwhyth interest ie "not otherwise paid," to be redeemed In the stock of the Company .at parvaluo withit presented in sufileiest amounts. The object:Of - this proposition ae explained by the mover, was to produce equ ality and fairness .among.the stockholders. That is, to • place all the stock holders ikproportion to their amount oriteek upon an equality, making no dlectituinitious be tween stockholders unauthorised by their Mier.; ter. This being the object and avowed purpOSof the resolution, it Is not a - little remarkable that It ehould havevectived the enaction of the Meet ing, Without having been forced upon it by the controlling tote:of the stock on which interest - 4s "otherwise paid.". ; The offer of six per cent. In terest to the loss favored class of stockholders - to be paid In diluted stook at par to equalise' theln with the other obese of stockholders, was paying but a poor compliment to their understanding The individual, thins favored class of stockhold ers, 'who enbecribed Stook to the Company. were Vegaired to; and did pay dollar for dollar for the . 'whole amtrcust Of:stock by them subscribed; and .upon this stook the Company was organised, oh !aimed meansand credit which tarnished a basis for the existence otthat blase of stockholders when intoner is "otherwise paid." To understand how far short of the object ton. templated,.the resolution falls, it is necessary to observe how it happened that there are two elate es'of stockholders in a company. whose charter recognizes no snob principle. The history -of the Company shows thatf.one clone - of the stockholders are those who 'took stook and paid therefor in cash, the nominal value. The other clan are corporations, who obtained their stock by giving their notth bonds, payable at a dietant:clay. These bonds were by no means cash, at their nominal setae, in the hands of the Company. Their exact 'net value to the Company, the individual stookhokli era have never yet been permitted to know Wel any exhibit or official statement of the Company. I will therefore assume, for the purpose of lose, king the point, that these bonds, taken from one elms of the stockholders were equal to eighty cents oo the dollar. That is, one class of etnek• helders paid forty do ll ars per share for 'thei r atm*, while the other elate paid fifty dollars per shove for theira, The assumption of twenty' per cent. loth on the bonds of the former class of stockholders shall be changed to comport with: the fact, when the value of the credit of the Clip; piny, obtained from cash-paying stockholders.' and lent to those bonds by way of guaraity, the amount of discounts, commissions, Now York agencies to pay interest, and other ineidental , and unavoidable exposuses incurred in converting the bonds into cash, shall be determined and made known. '• Since this bond-paying, forty-dollare-a-share does of stockholders entered the Company, they hive taken a prominent, if not a controlling part is the destinies of , the Company. The interest on their. bonds has been paid semi-annuallyin New York, by the Company daring the making - of the, road, and for three years since its comple tion. They insist their interest shall still be paid by the Company; and this resolution; tacitly yielding to this demand, sod proresaing to do justice to the individual, (or we might sip legal) stockholder , : proposes to dilute their clock and return the increase to them in the form of In terest at par value, to wit: in it. reduced condi tion. This mode of doing equity between stock holders, has no quality to recommend it but novelty. Now, if there be a real wish on the part of oar efficient President and the Directors, to deal justly with all the stockholders, it would seem that the of could be ninth more effectually accomplished by refusing the request of the reso lution; relying upon the sentiment of the stock holders expressed at their last annual meeting, against further depletion of their clock, and dis pensing a ith all dividends and Interest tlntil the Allegheny Bridge should be built, and then adopt each measurer, looking to the condition of the Company, as will in fact secure that equality and juatice among the stockholders which they have a legal right to demand.
