It is not-necessary to decide, in• order to main- - ' Min this form of proceeding, that this case falls within the class of irreparable injuries, and, if • . it did, that :would not , give original jurisdiction I to this Court. But we have the supervision and control, in the equity form, of private corpora ._ 'dons; and this involves the power of issuing all sorts of process necessary to effectuate that con trot - . The plaintiffs are a religious association in . corporated ander the act of '1791, which allows any persons, whether church members or not, • to be Incorporated for religious purposes, upon ----- terms and principles declared by themselves.— . Thmse terms end principles are expressed lather charter, and are•the laws of their immolation. Following-out the free thought of the act of •c. I Ateembly, the Society, as incorporated, consist • of ..Church and Congregation," or those who are . fultinimbers of the spiritist society and those who aro only pew holders. .The Church' there fore, comprises °nits portion of the members of theincorporated society, and must be so regard ' ed here. By the articles of union set oat in the . charter,. the trustees tiro the representatives of the incorporated society; and hold the church propeity for its one, and of course sithject to its directions regularly expressed. They receive the lemma of the Incorporated • society and ; apply it for the maintenance of the Gospel. They alone can , represent it in making - contracts, and from it Slone they receive their instructions, which are not expressed in the charter. A meet ing of the church members, as such, is not meeting of the incorporated society, and it can not Instruct the trustees in their duties, or as sums any power over them. It is notdiaputed that the last general election • of trustees in November, 1863, was regularly . held end conducted, and tive of the complaining trustees claim title under that. • But a vacancy • of. two trustees is alleged to have occurred, and • on the' 28th Febnurry, 1864, two others were elected in their stead. Judging from the church • records, this special election seems to have been ' regular but this is disputed now. The question, however, is not Important at present, for it is not denied that the two persons then chosen have . acted and been regarded as trustees over since, until the outbreak of the present difficulty, and without'them the other five trustees, undeniably elected, shooldpresent this complaint. • Then, *hat excuse have the defendants for in- • trading upon the trustees, and interfering with their functions? I do n ot inquire whether or not ell the defendants participated • in:the act complained of, for It is not necessary in this pre litoinsay prOceeding. It is admitted that some of themcaturaitted the act Of intrusion, and , are still maintaining their possession, and the in quiry in, what justification have they ? It. was held the 29th July last, and nothing could be more irregular then its proceedings. If it was a corporation meeting :it (mold. not exclude persons from. church mem bership; and if it was a mere church meeting, as it professed to be, it could not control the use of the corporation property, or direct the trustees, or create; or remove any; and yet all this, and -much more of the same incongruous character; - was attempted to be done. - ' They think they arejristified under the Bth ar tide of the church discipline.' - Bit this article is the creature of tho church members, and can be altered by them at pleasure. The incorporated society had no hand in making it, and cannot by -It be excluded from their chartered rights ,•, They think that the custom of Baptist church ''ea authorize the proceedings of the meeting al to. But, as the Baptist:churches are :Wholly . independent of each other, the custom of one or many of there, can furnish very little aia :jniiidgingof those of another. - Besides this,:the • customs of church meetings cannot take away the chartered right of the incorporated society-- the costume of ens portion of the society, cannot =such, deprive the other portion of im rights. • The meelang of 29th July was plainly disorder , ly and revolutionary: Even if it" had, been a meeting of the incorporated society, perhaps it could not thus haveset aside the legal trustees it they refused their assent. There is no need of such aVtsorderty - modeof obtaining their sup- - -posed rights; for there is a regular mode roost: - tied by law for compelling trustees to perform . duties to those whoee interests they repre sent - The proper corporation records are now in the lards of the trustees and will remain there. We should have nothing to tio•with the church :tin ' • ate books, were it not that - they alone contairrthe original" evidence of the , corporate membership .those whine corporate membership depends upon the fact that they are -in communion with - .the church. On this ground, however, the con . poration has an interest in them. One of them I .was violently wrested at the meeting of 29th Ju ly, from Samuel Bargesser, who, up to that time at least, was the regular clerk •of the church, and it must be restored to him, to „be held and disposed of by him ecterding to the directions of the next, or any, subsequent, regular church , - ;sneeting, and no alteration of any part of it must - bealiewel. • It is very plain that this congregation ded into two parties, and that their pastor is the subject of their dispute.' Of course then; so far as their present affections and purposes are eon - • • °trued, and as they are indicated by their disor derly proceedings, they hive no longer one faith, 7 and bapilam, 'nor any other common bond of onion. In a very humble sense of the parallel, - some are for rani and some for Apar:s, but none for Christ.' The aim of the contest is the'eicto ry of one pally over the other arid not the pro ,' grecs of the church in Christfan graces, nor its ' Mumma against. the kingdom of evil. .- Of course, then, we must expect .to see Very .improper means used by both parties in order to ' succeed.' And, many indications of this have been referred - to in the record, where persons 'unfavorable to the party having the majority for the time have been excluded from church Mem benthip. When any suspicion is east upon the motive of, such proceedings, they can do nothing 'rut harm to the party conducting them. One of the Resolutions approves of the course of the freemen of Connecticut., Ver mont, Ipwa,..Ohio, Indiana, Wisconsin and Mich igan in postponing and disregarding their views and differences of opinion en preference, and acting cordially together, and commends their spirit to the freemen of this and other States. A vote-was called on this resolution. Mr. Bul lard of Waterford moved an amendment, propo ling to follow the example in nominating a state ticket. Tremendous confusion followed, and amid cries of order and shouts of question, Mr. Bullard was compelled to it down. A vote was called on the resolution and the yeaa and nays attempted to be taken, but it was . finally tabled and the next resolution voted on.
