Tho consideration of the exception to
the allowance of defendant's set-off sug
gests threo questions:
1. Cnn defendant's claim of set-off bo
allowed In an action of assumpsit? Or,
In other woids, could tho defendant have
maintained an action of nssumpslt to to
envor tho amount of tlio claim from tho
plaintiff?
2. It appearing that the defendant's
claim arises from tho fraud or deceit of
tlio plaintiff, could not tho defendant
waive tlio tint and proceed against tho
plaintiff In assumpsit for "money had and
received"?
"3. Tho transaction which Is the basis of
the defendant's claim of sot-oft having
been completed nnd ended early in 1812
nnd tho present suit not having been
brought until 1S11; and the defendant
having made no demand on plaintiff for
anything until tho time of tho trial be
foro tho ipfrree, docs not tho stntuto of

DISCUSSION OF QUESTION.
Our discussion will bo confined to the
first two questions. The referee has
found that tlio act of tho, plaintiff in
making a secict prolU at tho expense of
the defendant was fraudulent In fact. It
was not constructive fraud. Whut kind
of an action would lie to enforce tho de
fondant's tinlm under tho circumstances?
The general current of authorities Indi
cates th.it a plaintiff Is not permitted to
establish actual deceit or fraud when he
declares In assumpsit. It must be borno
In mind that In tho case at bar the plain
tiff obtained property, consisting of real
estate and shales of Htock In various
companies.
This property belonged In law to the
defendant company, and equity has com
plete jurisdiction to cotnpell a transfer
of tho real estate and the stocks to the
party entitled to them. It is also clear
that an action of trespass under our pro
cedure act would lie; or. under, the old
prucuce. rimer an action oi trover or
case. The leferee has undertaken to
place a Milne upon the real estate and
stocks and to take, as It were, a short
cut to ilghteousness In business dealings,
bv dlscaidlng legal forms of actions and
allowing tho defendant to sot off the
alue of tho property against the plain
tiff's claim which is based on a con
tiact. It Is claimed, on account of tho
rqultablp scope or the action of assump
sit In Pennlnnln, that this may be
done. We do not think tho authorities
sustain this position. As nit Initiatory

"Since courts of common law cannot

statute by the courts has been broad and

right of a defendant may be regarded as

may be stated as tho general result of
the authorities, extending especially from

His liability has been alleged throughout
to rest on mal feasance and neglect of
duty."
Wo nre of the opinion, therefore, that
defendant's claim of set-off should not
have been allowed and tile plaintiff's ex
ception to tho allowance of tho sot-off by
the ipfeieo is sustained. All the other
exceptions, plaintiff's nnd defendant's,
nre dismissed.
Taking the view wo do of tho matter
of sot-off, it Is unneees-.uy for us to con
sider the question or tho statuto of lim
itations. This can bo decided only when
