They net In a fiduciary capacity. There Is any amount of text book law hearing upon this question, It Is unnecessary to quote It. Wo nnd the principle concisely stated In Bird Coal and Iron Co. s. Humes,l,"7 Pa. 27S: "A director Is a trustco for "the entire body of stockholitors, and ho Is bound to ninn nge all tho busliip affairs of tho com pany with a view to promote, not his own Intel ostH, but tlio common Interests, and ho cannot directly or Indirectly derive any personal piollt or advantage by rea son of his position, distinct fiom tlio other stockholders. "Bv assuming tho office, he undei takes to give his best Judgment In the Interest of the corporation, In all matters in which lie nets for It unttnmmclcd by any hdslllo Intpiest In himself or others. All secret piollts tteilved bv him In any deal ings In regard to the corporate entoi pilse must be accounted for to the coi potnltyii, even though the transaction In which tliey were made was of advantage to the corporation." Wo icfer also to Sperlng's App 71 Pa. 11, and Swcntzclt s. Ponn Bank, 117 Pa. 110. Tho consideration of the exception to the allowance of defendant's set-off sug gests threo questions: 1. Cnn defendant's claim of set-off bo allowed In an action of assumpsit? Or, In other woids, could tho defendant have maintained an action of nssumpslt to to envor tho amount of tlio claim from tho plaintiff? 2. It appearing that the defendant's claim arises from tho fraud or deceit of tlio plaintiff, could not tho defendant waive tlio tint and proceed against tho plaintiff In assumpsit for "money had and received"? "3. Tho transaction which Is the basis of the defendant's claim of sot-oft having been completed nnd ended early in 1812 nnd tho present suit not having been brought until 1S11; and the defendant having made no demand on plaintiff for anything until tho time of tho trial be foro tho ipfrree, docs not tho stntuto of limitation bar the claim of set-off? DISCUSSION OF QUESTION. Our discussion will bo confined to the first two questions. The referee has found that tlio act of tho, plaintiff in making a secict prolU at tho expense of the defendant was fraudulent In fact. It was not constructive fraud. Whut kind of an action would lie to enforce tho de fondant's tinlm under tho circumstances? The general current of authorities Indi cates th.it a plaintiff Is not permitted to establish actual deceit or fraud when he declares In assumpsit. It must be borno In mind that In tho case at bar the plain tiff obtained property, consisting of real estate and shales of Htock In various companies. This property belonged In law to the defendant company, and equity has com plete jurisdiction to cotnpell a transfer of tho real estate and the stocks to the party entitled to them. It is also clear that an action of trespass under our pro cedure act would lie; or. under, the old prucuce. rimer an action oi trover or case. The leferee has undertaken to place a Milne upon the real estate and stocks and to take, as It were, a short cut to ilghteousness In business dealings, bv dlscaidlng legal forms of actions and allowing tho defendant to sot off the alue of tho property against the plain tiff's claim which is based on a con tiact. It Is claimed, on account of tho rqultablp scope or the action of assump sit In Pennlnnln, that this may be done. We do not think tho authorities sustain this position. As nit Initiatory step iii our discussion of this question wo refer to Lee s, Gibson, It S. & B. 103, wheie Justice Duncan says: "Since courts of common law cannot administer equity in the same way couits of equity can, we have adopted tho mot liberal principles In this action, nnd be cause we h.ie no court of chancery, sus tained tho action, where one man holds unjustly the money of another; vou mnv. In everv ensp, w'ulve the tort, whetc tho party has recelod ur moiipv, tres pass or ttocr may be conerted Into this action. Where tho defendant has turned the article into money, or thero Is leasonable evidence that ho has, as In the case of the intttqticiado ticket. But where ou do this, you ratify tlio con version: ou adopt his net, and can ie copr nothing moip than ho has received. In England, not een Intel est. but here, the money ictelunl with tho Interest. A man mnv disafllrm the net nb Initio, by reason of the fiaud, and bring his special action and recoer his actual damages, or affirm It. and demand the money; ho may make his election." Wo shall refer to some of the cases cited bv counsel as well as those relied upon by the leferee. Heck s. Shenner, I S. & n. 241. The nctUm was tn recover compensation for set lees ns a housekeeper. Tho evidence showed malfeasance on the part of the plaintiff because she had embezzled her master's property. It was held that thero could bo no set-off for tho value of tho goods embezzled; but defendnnt wns al lowed to make a defense to tho action on the giotind that plaintiff had failed In her contract to render faithful ser ice. If this (use Is authoilty at all, It Is authority for the plaintiff. It does not help tho defendant. Bethlehem Borough s. Persevernnce Fire Co., 81 Pa. 41.'.. Justice Mcrcur roipws tho authorities and l.i down flvo proposi tions which are law In Pennsylvania: "(1) An notion of assumpsit waiving tho tort could not bo maintained against tlio borough for the vnluo of tho propctty. Tthonds, ot al., St -pn. 31!), is particularly applicable to the case at bat. A part of tho opinion is ns follows; "By the Defalcation Act of 170', a de fendant In any action on a contract was authorized to plead payment, and gle any bond, hill, lecelpt, at count or bargain in evidence. Tho construction of this statute by the courts has been broad and llbei.il. It has been so extended that the right of a defendant may be regarded as established to set nlf against a plaintiff's demand any damages capable of liquida tion, aijd for which an independent action ex continctu could bo maintained. This may be stated as tho general result of the authorities, extending especially from Niekle vs. rtalchvln, 1 W. & S 200, to Hunt s. Gllmore, 1 P. F. Smith 110. But, biond and llhetal as tho construction has been. It has noei authorized the admis sion of pioof of damages arising fiom a teclinlcnl tort. In lioyer vs. Kenster macher, 2 Wlinit. 0",, It has held that a plaintiff in replevin, founded upon a dls ticss foi rent, could not set off a debt duo to him by tlio landlord, or a demand against the landlord, not connected with tho rent or the occupation ot the prom ises; and the icasoii given by Judge Kennedy was that 'an action ot replevin Instead of being founded on a deed, b.u galn or assumption, is giounded on a toi tlous taking bv the landlord.' A debt, or the damages which can bo set off as an independent counter-claim, must be such ns n jury can find nnd liquidate tn tlio ordinal v w.i . just as If the defendant weio a plaintiff suing In debt, nssumpslt or covenant: Busscll vs. Jllllei, 4 P. V. Smith, 111. The plaintiff owed no con tract duty to the bank or to tlio assignees. His liability has been alleged throughout to rest on mal feasance and neglect of duty." Wo nre of the opinion, therefore, that defendant's claim of set-off should not have been allowed and tile plaintiff's ex ception to tho allowance of tho sot-off by the ipfeieo is sustained. All the other exceptions, plaintiff's nnd defendant's, nre dismissed.
