Governor Nartranft lias approved the "limited liability act," passed at (lie last session of the Legislature, aad it is now a law. This aot authorizes any three or more persons to form "u part nership association for the purpoo of conducting any lawful business or occu pation within this ConnnonweaUh," and provides that they shall not bo lia ble for its debts beyond tha amount which they have iudividully nubscnbcd. The word "limited" is required to be affixed to the titles of all partnership associations formed under this act, and must appear not only on the sign out nido their places of business, but in all advertisements and other official publica lions of the same, ns well as in all bills of exchange, promissory notes, checks rcccipts,cto. .relating to them. Failure to have this word expressed whenever tho name of a partnership association is used, rondels every person participant in tho omission liable for whatever in debtedness or damage may result. Limited liability companies, Yiliioh hitherto could only be organizod in Pennsylvania when specially chartered and iocorpratcd by the Lcgirdaturo, miy be formed under this excellent with out asking permission of anybody. It is simply necessary that the persona con templating the formation of such an association should sign ond acknowledge before some magistrate a statement, sett ing forth their hhimss in full, the total nmout of capital sub-sciibeJ by each, th character and location of tho business, the name of the location of the associa tion, its comtcmplatcd duration, aud the names of the oflisers, who are to be chosen in a certain specified manner. ThU statement, cud any anendiueutj subsequent!? made to it, are to be filed of rceordjin tho office of tho Recorder ol Deeds Tho best results arc expected from this law, which w,as urged on the Leg islature by the most enlightened and energetic business mcu of the State. Ho makes it clear that taxation is en ormously high, amounting iu many cases to actual confiscation. The avcrago rate is fcur and a half per eent. This upon a lair valuation would be very high twico that of New York city; but tho facts cited by tho correspondent go to show that tho valuation of property for tho purpose of atsessiacnt is very high, reaching, in some instances, many times its cash valuo. By this means a tax nomi nally of four and one-fifth per cent, miy become a tax ot 7 or 10 per cent.
