Because, although professing to offer t ! ie Main Line to the highest bidder, the hill djs- i criminates so largely in the conditions of sae, tem.s of pavment, ! - t!e exemption from tax ation, in favor of the Pennsylvania liailrqid company, as almost to exclude bona fide comfe- ; tition. And yet it empowers irresponsible in dividuals to bid for the purpose of speculation, by authorizing them, if they should become the purchasers, "to assign and transfer their right to ; the said Main Line, under said purchase, to a nv Railroad or Canal company created by tie ■ laws of the Commonwealth." The privileged transfer, under such circumstances, without in creasing competition, gives color to the assertion that the hill has been so framed as to enable pri vate parties—now engaged in procuring tfcis legislation —to purchase merely for the purpose of selling at an advance, as an indemnity for j their services. 2d. Because, although the t ill purports to be j a sale of the Main Line, it, in reality, mere resembles a gift to the Pennsylvania Raiircad Company, if that company should obtain it on the terms proposed. The extraordinary extrn-; sion of credit, the low rate of interest, the re- , leas -of tiie tonnage tax, and the exemption, forewr, from all other taxation or duties to. State purposes, will enable that company to li quidate every dollar of the purchase money be fore tiie last pavment shall be mature,by mere ly appropriating, for that purpose, the taxes from which tiiey are tfurs released. 3d. Because the release of the tonnage tax is not accompanied with such u limitation upon the future rate of dividends of >aid company, as will cause said release to enure to the ben lit of the trade and commerce of the State. Sicli a limitation would he in accordance with the o riginal design of the enterprising citizens of Philadelphia and Pittsburg, and of the various municipalities who u'sc.Aed so liberally < > the Pennsylvania Railroad Company, not ex pecting or desiring large dividends upon th or investments, but to promote the great public ob jects above referred to. 4th. Because the bi! provides that in the e vent of the Pennsylvania Railroad company be coming the purchaser, said company shall cot only be exempt fiom the tonnage tax, now a mounting to §2*26,0th.) per annum, but that in addition, it "shall be released from the payment of all other taxes or duties to the Common wealth on its capital stock, bonds, dividends or property." The latter amount from which the Pennsylvania Railroad company would be thus relieved, may be moderately estimated at one hundred thousand dollars a year." In fact, the management of several of these companies is located entirely out of the B'ate. Because, if the Pennsylvania Railroad company should become tiie purchaser, there ui i he a provision, that the State, or the cit ies of Philadelphia and Pittsburg, shall retain a voice in tii ' direction of the alhiirs of the Con solidated Line, iriespertive of, and although they may part with, the stork now held by them in said company. So important a work should not be n onaged as much with reference ;to the interests of stockholders, as to those great public objects of trade and commerce al ready referred to. Bth.
