The next day, however, temperatures Capitol Milk Producers Cooperative To Sell COCKEYSVILLE, Md. - “To satisfy the rumors,” Capitol Milk Producers Manager Bill Kiser spoke briefly to members and guests at the annual meeting of the Middle Atlantic Division of Dairymen, Inc., held Saturday at the Marriott’s Hunt Valley Inn. The “rumors” concern the proposed sale of the 144-member dairy cooperative’s assets, which includes the chain of High’s dairy convenience stores scattered across the Mid-Atlantic region. Kiser reviewed the background of the cooperative, tracing from 1964 when the milk marketing organization was “virtually bankrupt” to Capitol’s “best year ever” in 1985. According to Kiser, Capitol was approached two years ago by a potential purchaser of the assets, but at that time there was no in terest from the cooperative’s board. Capitol has the highest per member equity level of any cooperative in the nation. In mid-July, a sell proposal was offered to 64 potential investors, and letters sent out informing the membership. Proposals were reviewed two months later, with 18 presented to the co-op’s board, and six selected for further study and negotiations. A third round of bidding got underway Oct. 13, eliminating potential investors down to two. Negotiations are in final stage of that third and last round of bids, and member meetings were held Oct. 15. Two conditions have applied to all bids, Kiser said. No bid under $5O million would be considered and final package would have to include an ongoing 10-year supply contract for the membership. If the sale is ratified, Capitol leadership hopes to finalize arrangements by Nov. 30, but definitely by Dec. 31 to allow members to take the tax ad vantages still available before tax reform measures become ef fective.
