QUGH OF DALLAS, Luzerne
County, Pennsylvania, that it is
their intention to enact an ORDI-
NANCE hereinafter set forth, at
a meeting to be held by the said
Council on the 21st day of
January, 1986 at 8:00 P.M., at
the Dallas Borough Municipal
Building, Dallas, said Ordinance
to become effective January 31,
1986
BE IT ORDAINED BY: THE
BOROUGH COUNCIL OF THE
BOROUGH OF DALLAS, PENN-
SYLVANIA AS FOLLOWS:
SECTION 1. Definitions. For
the purpose of this Ordinance,
the following terms, phrases,
words and their derivations shall
have the meaning given herein.
When not inconsistent with the
context, words used in the
present tense include the future
words in -the plural number
include the singular number and
words in the singular number
include the plural number. The
word ‘‘shall'’ is always manda-
tory and not hereby directory.
a) ‘Borough’ is the Borough
of Dallas, Pennsylvania.
(b). ‘Borough Council’' is the
Governing Body of the Borough
of Dallas. Pennsylvania.
(c) ‘‘Mayor’” is the Chief
Executive Officer of the Borough
of Dallas, Pennsylvania.
(d) ‘‘Grantee’’ is Century
Communications Corp., the
Grantee of rights under this
franchise:
(e). ‘‘Person’’ is any person,
firm, partnership, association,
corporation, company or organi-
zation of any kind.
SECTION 2. That Century
Communications Corp:, its suc-
cessors and assigns, be and it
hereby is granted the right,
privilege and authority to oper-
ate, maintain and carry on the
business of transmitting televi-
sion, video or audio signals,
telemetry or data, or any one or
more of them, to persons, cor-
porations and partnerships of
the Borough of Dallas, Pennsyl-
vania and for any one or more of
such purposes; to construct,
operate and maintain lines,
cables, conduits, poles, wires
and fixtures wherever necessary
upon, along, through, over and
under the streets, alleys,
bridges and public places of the
Borough of Dallas, Pennsylvania
upon the terms and conditions
hereinafter provided. It is under-
stood that nothing contained
herein shall be in contravention
of the Laws of the United States
of America and the State of
Pennsylvania
SECTION 3. Non-Exclusive
Grant. The right to use and
occupy said streets, alleys,
public ways and places for the
urposes herein set forth shall
e not exclusive and the Bor-
ough reserves the right to grant
a similar use of said streets,
alleys, public ways and places
to any person at any time during
the period of this franchise
SECTION 4. The poles used
for said cables, wires and fix-
tures may be those erected and
maintained by the Telephone
Company and or the electric
company when and where the
use of said poles can be
obtained, provided satisfactory
rental agreements can be
entered into with said utility
systems, but where the use of
said utility poles are not obtaina-
ble, or advantageous to the said
Grantee, the said Grantee may
erect other poles and may lay
wires, cable and conduits or any
one of or more of them under-
ground, provided that said
poles, conduits or wires do not
unreasonably interfere with the
proper use of the streets, ave-
nues, alleys, ways, bridges or
public places in said Borough
and that they shall be main-
tained in a reasonably good
condition and repair and to that
end the Grantee shall abide by
any reasonable ordinances and
resolutions duly adopted by the
Borough. It is understood that
the Grantee shall be subject to
the lawful exercise of the Police
power by the Borough. All
streets and sidewalks and other
public ways that may be dis-
turbed or damages in the con-
struction of said lines shall be
promptly replaced and repaired
y the Grantee, its successors
or assigns, at its own expense
and without cost or expense to
the Borough, in as good condi-
tion as before said disturbance
was caused
SECTION 5. It is expressly
understood and agreed by and
between the Grantee and the
Borough that the Grantee shall
indemnify, protect and save
harmless the Borough from all
claims, demands, actions, judg-
ments, costs, expenses and
liabilities of every name and
nature which may arise or result
from the Grantee's construction,
operation, or maintenance of its
system in the exercising of the
rights granted hereunder. The
Grantee shall carry insurance to
protect the parties hereto from
and against any and all such
claims, demands, actions, judg-
ments, costs, expenses and
liabilities, -with minimum policy
limits of One Hundred Thousand
and no-100 ($100,000.00) Dol-
lars ‘as to one accident, with
limimts of coverage for damage
to property of not less than
Twenty-Five Thousand and no-
100 ($25,000.00) Dollars.
SECTION 6. The Grantee in
this franchise shall be subject to
all ordinances and resolutions
now in force or hereafter
adopted, relative to the use of
the . highways, streets, alleys,
bridges and other public places
of the Borough of Dallas duly
adopted by the Borough Coun-
cil.
SECTION 7. The franchise and
rights herein granted under the
provisions of this ordinance shall
take effect and be in force from
and after the final passage
thereof, as provided by law and
upon filing of acceptance by the
Grantee with the Borough of
Dallas and shall continue in
force and effect for a term. of
Fifteen (15) years after the
effective date of this franchise.
(a) Request for renewal shall
be given to the Borough by
written notice at least ninety
(90) days prior to the expiration
of the privileges herein granted
or of any extension of: the
privileges.
(b) The approval of renewal of
this franchise shall be subject
only to the Grantee having com-
plied with all material provisions
of ‘this franchise and ‘such
approval shall not unreasonably
be withheld by the Borough.
SECTION 8. Wherever in this
ordinance either the Borough or
Borough Council, or the Grantee
is named or referred to, it shall
be deemed to include the
respective Successor, succes-
sors or assigns of either, and all
rights and piviages herein con-
ferred and all obligations herein
imposed shall bind and insure to
the benefit of such successor,
successors or asigns of said
Borough, Borough
the Grantee.
SECTION 9. The Grantee, its
successors or assigns, shall
within Shirly (30) days after the
adoption of this ordinance, file a
written acceptance of the fran-
chise herein granted with the
Borough Clerk of the Borough of
Dallas.
SECTION 10. During the exist-
ence of this franchise, the Gran-
tee shall furnish reasonable and
efficient cable television recep-
tion service to its subscribers
connected to its system within
the Borough and shall maintain
its system in reasonable repair
and working order at all times.
The grantee shall comply with
the applicable Standards of all
Federal and State Regulations,
including but not limited to, all
such standards ‘ established by
the Federal Communications
Commission:
(a) The Grantee shall, on the
request of any person holding a
building moving permit issued by
the Borough, temporarily raise
or lower its wires to permit the
moving of buildings. The
expense of such temporary
removal, raising or lowering of
wires shall be paid by the
person requesting the same,
and the Grantee shall have the
authority to require such pay-
ment in advance. The Grantee
shall be given not less than
forty-eight (48) hours advance
notice to arrange for such tem-
porary wire changes.
(b) The Grantee shall have the
authority to trim trees upon and
overhanging the streets, alleys,
sidewalks and public places of
the Borough so as to prevent
the branches of such trees from
coming in contact with the wires
and cables of the Grantee.
SECTION 11: It shall be the
obligation of the Grantee to
serve all ‘the residents of the
Borough, except to the %xtent

uncil, or of
¥ licensed realtors
thirty (30) homes per linear mile
of cable plant or other factors
render service impracticable,
technically not feasible or eco-
nomically noncopensatory. Serv-
ice to areas of less than thirty
(30) homes per linear mile may
be provided through subscriber
contributions to construction,
increased monthly basic service
rates or both to compensate for
the low subscriber density per
linear mile.
SECTION 12. On request, the
Grantee shall furnish without
charge, one basic service outlet
to any public school building,
(including parochial school build-
ings), fire station and palice
station located within the corpo-
rate limits of the Borough of
Dallas and within two hundred
(200) feet of existing energized
cable service lines.
CTION 13. The Grantee
shall pay to the Borough of
Dallas as a franchise tax and as
compensation: for the right and
privileges enjoyed hereunder, a
sum equal to three percent (3
percent) of .its gross revenues
for basic service received by the
Grantee, excluding installations,
connections, reconnection fees,
late charges, equipment
charges and premium service
fees from their customers within
the corporate limits of the Bor-
ough. All such payments shall
be paid to the Borough on an
annual basis on or before Febru-
ary 28 of each year for the
preceding calendar year. In con-
nection with this compensation,
the Borough shall have the
right, from time to time, to
inspect the books of account of
Grantee after having first giving
reasonable written notice and
such inspections shall be per-
mitted by Grantee and per-
formed by the Borough no later
than ten (10) days after said
written notice is received.
SECTION 14. The franchise
payments herein provided for
shall be in lieu of any business
or occupational licenses or
taxes.
SECTION 15. Separability. If
any section, subsection, sen-
tence, clause, phrase or portion
of this Ordinance is for any
reason held invalid and uncon-
stitutional by any Court of com-
petent jurisdiction, such portion
shall be deemed a separate,
distinct and independent provi-
sion and such holdings shall not
affect the validity of the remain-
ing portions hereof.
SECTION 16. Waiver. Failure
to enforce or insist upon compli-
ance with any of the terms or
conditions of this agreement
shall not constitute a general
waiver or relinquishment of any
such terms or conditions, but
the same shall be and remain at
all times in full force and effect.
