COOPERATIVE ASSOCIATION...These
useful societies have boon roicognfzeil by
the LegislaturO of Pennsylvania, and the
mode of their _organization provided, by
tho act of April 14th, 1868. Seven or
more persons over the ago of 21, citizond
of Pennsylvania, may, undOr articles in
writing, associate theinsolves together for
the purpose of carrying , pn any lawful
mechanical, mining, manufacturing or
trading . business, or for the purpose of
trading and dealing in goods, wares and
merchandise or chattels. The articles of
associntion, distinctly setting forth the
name, object, location, capital stock, num
ber of shares and amount in cash paid in,
must be signed and acknowledged before
an (Ancor authorized to take the acknowl-
edgment of deeds, 'and must be recorded
in the office for the recording of deeds pf
thdcounty where the association is estab
lished,' and a certified copy, under seal,
must bo sent to the Auditor General. The
capital stock cannot be less than $20,000,
nor greater than $200,000, and a bonus of
dhe-half of ono per cont. thereon must bo
paid into the Stale Treasury.'• The associ
ations are to be under the management of
a board of Directors, net less than five in
number, ono of whom shall be the Presi•
dont and another the Treasurer. This
board is chosen annually, and in the case
of failing to make the required annual
statement of the condition of the,..associa•
tion, is liable for all debts of the'corporu
tian. distribution of - the profits must
be made at least - once in every twelve
months ; but no distribution can bo de
clared and rid until there shall have ac
cumulated a sum equal to 30 per cont. in
excess of the capital stock, and until five
per cent. of the profits shall have been in
vested as a sinking fund.
