Riesling of Stockholders of the Pitts
burgh, Fort Wayne and Chicago Rail
road Company.
Pursuant to notice, the first annual meeting of the
Stockholders of the Pittsburgh, Fort Wayne and
Chicago Railroad Company was held at the Rooms
of tho Board of Trado, on Fourth street. Some
three hundred or more Stockholders were in atten.
dance.
The meeting was organized by tailing Gen. Les
ter Bliss, of Delphos, Ohio, to the President's chair,
and appointling R. B. Sterling, Esq., of this city,
and T. D. Messier, Esq., Auditor of the Company,
as Secretaries.
The first business before the meeting was the read , .
log of the report of the Board of Directors, by Gee.
W. Cass, Esq., the President of the Board. As we
putlished the report entire in our issue of Saturday
last, our readers are already familiar with it, and we
shall not republish any part of it now.
Mr. Ferguson, of Now York, moved that the report
be accepted, and offered the following resolution,
which was unanimously adopted :
Resolved, That the thanks of the Stockholders he and
hereby are presented to the President ut the company, fur
his able and clear report, and that iu accepting the same,
undiminished confidence in the sucoraisful result of the en
t
rprive so soon as the line shall be finished and put in oper
ation to Cblcago is hereby expressed; that while they assent
to and approve of the determination of the Directors to Teske
all purchases of supplies for essir and punipt regular
menthly payments to the employees of the company, they
would enjoin upon them the duty Lt ce.dty of re ikiug
provision at the earliest day p.ffeable for the payment of the
arrears of wages duo to employees cm the lino of the road,
and with ibis view to carry to its furthest extent as striu
gent a system of retrenchment and 'economy in the admin
istration of its affairs as is consistent with the permanent
interests of both creditors and shareholders of the company.
Mr. Magargo, of Philadelphia, offered the follow
ing resolutions :
Resolved, That this meeting instruct he new Board about
to be elected, or any Board hereafter elected, to discontinua
the payment of salaries or wages per diem to any of its
members, exceptdhe chief executive officers, for services
rendered as Directors of this company.
Resolved, That this meeting instruct the Board of Direct
ors to so modify the By-Laws of this company as to pre
vent the purchase of any supplies or materials for the road,
either directly or Indirectly, from any member of the Board,
officer or agent of the company.
Resolved, That the Board of Directors b 3 instructed to
have a book with a lict of the stockholders of this company
prepared annually, three months prior to an election of Di
rectors, for the purpose of exhibiting to any stockholder
who requests it, the number of shares held by each indi
vidual, firm or corporation interested in this company.
These resolutions were adopted without a dicsent
ng voice.
Mr. Sargent, of New Brighton, then presented a
resolution providing for the publication of the names
of all he employees on the road, with .the salaries
paid to each, which, with an amendment offered by
Mr. Williams, of Fort Wayne, was laid on the table.
Mr. Donnelly, of Wooster, offered the following
rotolution :
Resared, That the present Board of Directors be requested
to furnish, forthwith, the stockholders with a statement of
the several amounts paid each member for services as Presi
dent, Vice President and Directors of said road during the
last fiscal year.
Which was amended by the addition of the follow
ng, when both were adopted:
Resolved, That a committee of tbri e be appointed to as
certain the number of clerks employed and their salaries
respectively, the amount of the printers' bill, the amount
paid each Director respectively since the consolidation, the
amount paid the Solicitor of the company and his assist au: a,
The following was then offered by Mr. Williams,
of Fort Wayne, and adopted :
Resolved, That the Chairman be authorized mid directed
to appoint au Examining Committee of stockholders to 1.,x
-amine the boAcs, accounts and Touchers from the let of
August, 1856, to 31st December, 1857, and report the result
of their examination to the shareholders at their meeting
on the fires Wednesday of September next.
Mr:Winslovv, of New York, then presented the
resolution which follows, and after a few words of
ex-planation by President Cass and Mr. :Winslow,
ti was unanimously adopted:
Resolved,- That while the shareholders assent and approve
of the principle expressed in the 4th, sth, 6th and 7th arti-
cies of the by laws as eubmitted in the Report of the Direc
tors, they recommend the following in addition thereto,
viz: That the annual reports referred to in No. 4 shall con
tain the names of the Directors and officers of the company,
the names of candidates that may be prepared to file vacan
cies in the Direction, and the names of shareholders to be
appointed as auditors for the examination of accounts for
the -ensuing year, and whose duty it shall be to take charge
of the publication of so much of the report as shall be of
general interest, in a convenient form, and of its transmis
sion by mail to every shareholder in the United States
whose address is known, at least ten days before the pro
posed meeting, and wherein all the expenditures in capital
account shall be separately and distinctl stated, and Con
trasted with the payments made the previous half year on
the same account—as also, the same with regard to the in
come and all expenditures—also contrasted with those of
the previous year—and shall have appended thereto a min
ute of the proceedings of the previous meeting of Stock
holders.
The following, from Mr. Reynolds, of Canton,
Ohio, was adopted :

this meeting is to elect a Bpard of Directors, and for the per

, ion to the stockholders, that the stockholders of each State
shall meet at separate places this evening and select the
candidates (by a vote of their stock) to which each State
may be entitled:
As was also the following, offered by a stock
holder : •
Resolved, That we recommend to the new Board of Di.
rectors to retrench and reform all needless or extravagant
expenditure; to discharge all officers and agents not abso-
lute!) needed for the safe and efficient conduct of the com
pany afiairs, and to keep a watchful eye and stern hour! over
all the opera'ivea and employees of the company, executive,
financial and operative
Mr. Winslow, of New York, then offered an addi
tional resolution, which was, on motion, passed with
out opposition : n
Resolved, That it is the opinion of this meeting, in view
of the future success, credit and prosperity of the company,
that it is of vital importance that the Board of Directors
should at all times be watchful in providing promptly for
the interest as it falls due ou the funded debt of the com
pany, as well as for the sinking funds which are pledged for
its liquidation, and for the payment of the other debts of
the company.
A stockholders then proposed - the adoption of the
following, which was agreed to :
Resolved, That the names and places of employment of
all persons in the employ of the company receiving a salary
of six hundred dollars and upwards, be kept in a book in
the office of the company, for the inspection of all the Stock
holeers.
Mr. G. W. Cass, President of the road, than arose
and made a ftw remarks respecting the imperative
necessity of a speedy termination of the road to
Chicago, and offered the following preamble and
resolutions on the part of the Board of Directors :
WIIEREIB, The completion of tho road of thla company
nto Chicago at an early day, is of the highest importance to
he Stockholders; and whereas, the Board of Directors are
of the opinion, that while the assets of the company ere
ample in'amount, they cannot at the present time be made
fully available for the object, without the aid of cash meani
and other assistance from parties having no control over thr
management of the Board, and therefore without security
for the fathfnl application of the means which may be fur
niched, therefore,
Resolved, That the Board of Directors, to be elected, here.
by have the assent of the shareholders to make such contract
or arrangement (as may legally be made) with parties fur
nishing cash or other means to an extent that shall secure
the completion of the road within eight months, as will
fully assure to said parties the proper management of the
boldness of the road and the injudicious expenditure of all
means coming into the possession of the Company, whether
from transportation receipts, sale of bonds or otherwise.
Resolved, That, if necessary, the contract or arrangement
may, at the discretion of the Directors, extend to a general
but well defined supervision over the finances and operations
of the Company, until all or such portion of the advances
aro repaid as may be stipulated for in the agreement, or cm
tit the net earnings of the company will insure a market
value to the stock and bonds of the Company, that will
appear to render certain the punctual payment of the inter-
et..t on such securities as may be need in payment for the
work to be executed.
Resolved fzi"ther, Nothing contained in the foregoing
resolutions shall conflict with existing agreements in regard
to paying floating debt, or the payment of interest funded
on mortgage debt, nor with the pledges to the Sinking
Fund.
A motion to adjourn until nine o'olook this morn
ng, for the purpose of passing the resolutions, was
oft.
The resolutions were then unanimously adopted,
and the meeting adjourned to meet this morning at
nine o'clock.
A Watchman Beaten while In the Dls-
charge of His Duty.
On Monday night a shoemaker named M'Ginuis
was arrested for disorderly conduct. He was along
with a party of persons who created a disturbance in
the First ward. The watchmen, as in duty bound,
interfered to stop the riotous proceeding, when one o.
them was felled to the earth, and the party took
refuge in a house, where they bid defiance to the
officers of the law. One of the officers was inside,
and the door was immediately closed upon him. He
was attacked by the whole party, who succeeded in
taking his mace away from him and beating him in
a shocking manner, the force outside being unable to
make an entrance. At length they forced the door
open, but the party made their escape through the
window, with the single exception of M'llinnis, who
was taken to the Mayor's office where he was kept
until yesterday morning and fined $2O and costs.
We hope the names of the balance of this party may
be ascertained, and that they may be arrested and
held to answer for this high-handed outrage upon an
officer of the law in the discharge of his duty. -
—Since the above was written, we learn that an
information for assault and battery has been made
against M'Ginnis by John Formes, a man whom he
had knocked down on Monday evening. lie was
held to bail to answer the charge.
Horse Stolen.—On Sunday night a horse was stolen
from John Smart, Woodhill, Marsball county, Vir
ginia, of the following description : A large bay
mare, nine years old, right hind foot white, star in
the forehead. The animal is sixteen hands high. A
reasonable reward will be paid for the recovery of
the property, or information loading to the detection
of the thief.. It is supposed to have boon brought to
this city.
Another Thief Caught.—Patriok Mullen, an ac
complice of Cooley and Porter, in the highway
robbery and larceny to which we alluded on Monday,
was arrested by the Mayor's police yesterday and
committed to jail to answer the charge. Tho whole
of the party is now in jail, and they will probably be
provided with lodgings in Major Beckham's man
sion.
Aeeault to Kill.—Paddy M'Manus was arrested
yesterday morning and taken before Alderman
Lewis, charged, on oath of John M'Uee, Jr., with
assault and battery with intent to kill, in inflicting e
severe wound in the log of the prosecutor with a
'wife. He war sent to jail to await a bearing. Wo
understand there is a similar charge against him by
another person.
Dlayor's Office.—Businoss at the Mayor's office was
rather dull yesterday. In the morning there was
about the usual number of common cases—eleven in
all. Of these, eight were committed to jail, and
three paid their fines.
The business in tho Court of Quarter Sessions yes
terday was of little importance. Judge M'Cluro is
now holding night sessions, for the disposal of road
bulaesa.

Who is Ho
Yesterday morning, Mayor Weaver received a
letter from James H. Williams, a justice of the peace
at Oscoola, Arkansas, dated March 23d, requesting
him to give publicity, through the public prints, to
the following facts : On Sunday morning, March
21st, the dead body of a man was found, apparently
thirty-five or forty years of age, heavy set, five feet
nine or ten indhcs high, with sandy hair and red
whiskers. He bad on a black dress-coat and easel
more pants, vest with pearl buttons, and a good pair
of boots. In his pocket was found a fine silver
watch, with the name of E. G. Kennedy engraved
inside. In another poonet wat found a copy of the
"Constitution and By•luws of the Freeport Lodge
No. 370, of Odd Follows, State of Pennsylvania,"
and a pocket knife. The body was so much decom
posed that it was not examined closely. It was
found in the Misaissirpi river, opposite Osceola, and
had been in the water several weeks. A coroner's
jury was culled, and returned a verdict of death from
drowning. The deceased is supposed to be one of
the sufferers by the steamer Col: Croseman, which
y...s burned on the Mississippi on the 4th of Febru
sr!.. The watch and other property of the deceased
in the possession of Mr. Williams, who will
h6orfully do anything in his pow.tr for the friends

Our former townsman, Col. S. W. Black, Judge of
the United States Court in Nebraska, is in the city.
Ho arrived on Monday night, and is on his way to
Washington City.
FinallConznaitted.—Charlos Bothwell was oom•
initted to jail yesterday by the Mayor, to stand a
trial for the larceny which we have already noticed.
The Firomen'a Association met on Monday even
ing, but transacted no business of importance.
Iliaeing —Nancy Robinson, a colored girl, left the
house of her rarents, en Fulton street, last Thurs
day, since which time she bas not beon heard of.

evening to only a tolerable house. This evening

House, sign of the American flags, No. 43 Smith
field street, has the original recipe for making Non-
Corrosive Writing Fluid. It is the only one in ex
istenco which can be relied on. It is the arti"le im
proved valich has been used in the Bank of Eng
land for the last thirty years, in preference to Ar
nold's. The flow is equal, the color is better, and
cannot be erased from paper by any frauddlent
means. All is warranted that bears the signature of

moves grease, tar, paint, printers' ink and dirt from the
hands, leaving the akin soft, and free from chapping.
To avoid the labor of rubbing the clothes, and the use of
the washboard, the following directions should be followed :
For the washing of eight or ten of a family, take one
pound of Soap, cut it into shavings, and dissolve in one
gallon of hot water; put the clothes into a tub containing
about ten gallons of warm water; pour in the dissolved
Soap, and stir thoroughly. Let them soak twenty to thirty
minutes, wring out, and rinse in warm water once, cold
water twice. A very dirty wrist-band, or seam, or grease
spots, may require a slight rubbing, but otherwise the
clothes will come out clean and white, without rubbing or
boiling. Cold water may be used in place of hot, requiring
about double time in soaking.
