He thought the precedent bad, and offered the following resolution : ?esolred, That it is the sense of this meeting that the Directors of this Company should not secure any I compensation for services, other than for necessary expense incurred in the legitimate discharge of their official duties, unless with the consent of the stock holders, given at a regular meeting or a special meet ing called for the purpose. Remoleer?, That it is the sense of this meeting that no Director of this Company should ho appointed to hold any office of profit in the same, other than the President or Treasurer especially if such office should have been created, or the emoluments thereof established or increased, by the Board of Directors of, which he may he a member. Mr. Ca.ss explained in regard to the $5 per day. Only two of the Directors desired to receive it, and they had come from a distance. Ile thought it best to fix the compensation before hand, as large claims were sometimes afterwards made for services, the an- ual value of which could not ho aeeertained after a • apse of time. For instance, over $5,000 per year tail been paid out fir legal services during the past Gen. Robinson stated that no such amount as $5,000 p•r year hail been ever been paid for legal services. The RUM would not average over $1.1300 or SI,SOO, Air. Cass said he did not wish to have any enntr very with his respectad friend, in relation to the matter, hut claims nt the office earned him nut in his assertion. One gentleman in Mansfield had teen al lowed $1,500 ; one in this city $500: one in Salem $lOO ; and other persons smaller claims, (en. Mr. liarsie thought that when romponpation was allowed to directors, it should be fixed by the stock- Mr. Cass replied that it wan the custom on the Ohio roads f, the board to fix compensation. It is not to be expected that gentlemen who gave their time for the best part of the year should do so for nothing.
