holder, any greater rights or immunities than the

Bonds are to standon the footing of Bourf., then they
have no superior rights or immunities. It is only
by destroying their, legal character os Bonds and

lho present holders can seek protection from our c.iui
ties. And. for the reasons given above, I think they
cannot be so construed, but must still bo rceardod
as Bonds and subject to the law respecting Bunds.
Neither is thore any hardship or injustice in this
Every one who buys or trades for the Bond of an
individual, company or.corporation, takes it subject
to any equitable defence which the maker could set
up agabist the payeo or the first holder of the Bond.
Nhy should tbeso Bonds bo on exception to that
general rule? Although they may be made payablo
t<> ••Bearer' or "Bolder," yet, on their face they

other facts which put the purchaser upon Inquiry
and which, in law, compel him to inquire into all the
tacts and circumstances of tho ease, or run the hazard
of any equities the makers may have.
But in this case we need not resort to constructive
notice. Erery Bond-holder had actual knowledge of

pantce. It was a notorious fact He, a> woll os tho
people, expected the railroad companies to pay this
tereiL Ho looked to them fur the Interest nnd for
several years received the interest from them. At
tho time ho purchased his bond ho had no expecta
tion of calling upon tho people for the interest. But
tbo railroad companies have failed and bo Is disap
pointed. So are the poople. Who is at fault, or
who IS to blame? The people would never have con
sented to these subscription# except on the condition
that the railroad companies would pay tho interest
on the bonds until tho'roads should beoompleted.
When tho bonds wore isrued they thought they were
protected by the express agreement on this point
The people, therefore, are not in fault. If thore be
a loss, then, on whom shall tho loss fait? It Is a
principle of law, that of two parlies who are equally
mistaken and equally innoceot, the ono who unox
pectedly sustains a loss, cannot call upon the other
to mako op that loss or oven sustain a part of it, un
less that wot the original agreement. But in this
case they are not equally innocent. Tbo people
stand upon an express agreement which was made
especially to protect them. The Bond-holders seek
to avoid the effect of that agreement, of which thoy
had actual as well as constructive notice, by over
throwing legal principles which have stood untouch
ed and unquestioned, as the fixed rules of property
for centuries. J '
