The following named gentlemen compos ed that committee, viz: Thomas Goodman, Esq.; of Canton. Ohio, and Samuel Gormly and John Bissell. Jr., Esq., of this city. Theis report was published in pamphlet form, and largely distributed ambngst the stockholders. These gentlemen were selected because of their well known familiarity with the sei ence-of bookkeeping, their - peculiar skill in unrafeling and investigating accounts • and entries of long-standing, and the cont. parison and adaptation of vouchers to re cepts and expenditures. It was believed that in the whole range . of stockholders no three other gentle Ten could be found better qualified for the work. Their character for exact and scrupulous integrity forbids the impression in any quar ter that any influences could reach them whereby the result, of their labors might be made to assume any coloring but that of truth alone. This committee entered upon their la bors and prosecuted them with unremit ling application through some four months or more. The result is exhibited in the - various- trial balance sheets, after correc tions of the footings of the ledger, and appended to their report. No honest and intelli• gent accountant can draw from its exhibits, any such cenclasiens as are stated in the slanderous paper to which I have reference. Rut above all, there are the books archives, vouchers and correspondence of the Com pany cutout, and equally accessible. These are the proofs and defence of the Investiga ting Committee, and there they will remain. a shield to all cOncerned in the administra tion of the affairslof the Company against the base insinuations of domestic or alien traducers. Nor shall Jarvis tt, Co. shelter themselves from the recoil of their utterance of iinpo• tent malice, under even the miserable plea of ignorance or inadvertence. They have associated with them, in this infamous at tempt upon reputation, the name at least of one man, whose pursuits suggests that he should have known the ground on which they were treading. If the malice of a brace of inferigir lawyers should prompt them to base chiminal charges upon their own blundering ignorance of accounts, the merchant should ham interposed to check their aggressithi, if indeed anything mere than Mr. Bagalev's respectable name con tributed to thairodnetion of Jarvis S Co. • On page 13 of their. pamphlet, "Jarvis & Co. call attention to the report of the In vestigating Connisittee, touching capital stock reported Ity them at $2;158,240, and by the annual report of 1556, $2,6.47,500. I ncrease, - $1•49560. And ask: "How this increased amount of stock found its way in to the Books of the: Company, since the re• port of the InVesiigating Committee, is worthy of the attention of Directors. Another item of the account of Jarvis it Co. demands attention. No merchant can fail to see the absurd, ity of the process by which Jarvis..h. Co., work out the alleged deficiency of assets.' Its exact equivalent would be found on a merchants books only when having closed. his aceounts for the year he wdnld add t. his list of available assets, the figures of:,; a trial balance representing the whole nett profit of his business already included item by item as'it was earned ! This precisely is the ciphering of Jarvis •E Co.plail it is impossible that stockholders can now fail to see through its falsehood. But mark how plain, a tale will put them down. On page sixteenth of their own pamphlet the whole story is told by themselves, where they inform von that the Directors paid the last two dividends $181,809 50, in stock; within a email true tion of the whole difference! The residue paid out on construction account. These are apt illustrations of the character of the whole labors of Janis & Co., upon the ac count and assets of the company. The plain intent of this paragraph is to impose upon the careless reader that here is another monstrous perversion of the funds of the Company, whilst it is quite possible to ignorance such as they have shown, that they did not know the truth themselves they designedly leave parties to infer the worst. I cannot pass liver their attempt to maks me responsible for the defalcation of Lai: met. It is an attempt whii.h I should r.• silt to the lest extremity as unwarrantable in every aspect. But Ido not hesitate to say further, that if I could gard myself as either ' morally or in equ y bound I should pay the amount to the t-dollar . But it has re mained for Jervis Co. to unearth the sug gestion, that I abotild be held responsible for the defalcation'et tlie former treasurer. I have only to say that the opinion of the two legal gentlemen - of the firmshaald bo taken -with great caution. Their ludicrous igno rance of those simple ixbitters of accounts , in which any-lawyer ought to be well in formed, cannot fail to inspire great distrust of their legal acumen. Besides, there is usood mason to distrust their motives us to discard their opinion. .., Whe shall report the reasons why Dwight Jervis, although once elected a Director by the Directors, was immediately ejected by th e Yorvchothers? Or why T. W.
