I t i g h er eby agreed that a lease of the Philadel
phia and Erie Railroad for nine hundred and
ninety-nine (999) yeare be made to the _Pennsylva
nia Railroad Company, upon the following terms
aed oemiltions, to wit
First The Pennsylvania Railroad Company - will
agree to pay the interest as it accrues upon, and
purolame at par, when bonds become due, as
hereinafter 'provided, three millione five hundred
theuataid (ea SOO ono) dollars of the new loan or
mortgage enl. of the Philadelphia and Erie Rail
road Company, upon the term] hereinafter stipu•
dated, which new loan consists of five millions
(f 5 000,000) dollars in all. bearing six (6) per cent.

which the said Penraylvacie Railroad
Company shall secure the payment of interest
semiannually, and the principal when due. on the
three minions five hundred thousand ($3,500,000)
dollars referred to; and the president of said
PenliTylvitola Reilread Compeer, or his etzbellittte,
shall, for the purpose of negotiating said bonds,
proceed to Europe in company with the president
of the Philadelphia and Erie Railro a d Company . ,
or such officer or agents as they, the aforesaid
F ree:dente, may select, after this lease shall be
perfected and ratified by both companies.
Second The proceeds of three millions (63.00 0 .-
000) dollars of the said bonds, or so much thereof
as may be required, shall be applied by trustees,
satisfactory to both parties, exclusively to the
completion and equipment of said Philadelphia
and Erie Railroad, under suet contracts as are or
may be authorized by said Philadelphia and Erie
Railroad Company, to place the road and appur•

trade, within ninety (90) days after final comple.
time, and to the payment of the interest upon the
bonds, until the road is so delivered into the pos
session of the Pennsylvania Railroad Company:
cad contracts for the final completion of the road,
its necessary equipment, and the expenditures
therefor, to be satisfactory to the said Pennsylva
nia Railroad Company ; who shall also be satisfied
that this sum is sufficient for the purpose, after an
examination and report by an engineer ' to be ap
pointed by them; and five hundred thousand
($500,000) dollars, or so much thereof as may be
necessary to the payment of confidential debts, en
dorsed paper, and to the further equipment of the
said Philadelphia and Erie Railroad Company.
Third. The lessees to provide their agents, en
perintendents, meehamos. laborers, material,
stores, and other matters essential to the prompt
and satisfactory working of the line—keep up re•
pairs and renewals—And pay all and every ex-
pence connected with the movement of trade, or• I
the menagement and maintenance of the road,
equipment, and other property of the company,
for which they shall be allowed sixty (60) per
cent. of the gross receipts per annum during the
continuance of this lease: Provided, That, if the
actual working expenses shall exceed sixty (00)
per cent. per annum, the lessees shall be entitled
to an actual average cost, not exceeding sixty-five
(65) per cent. per annum, until let of January,
1872. Possession of the reed and equipments to
be delivered to the lessees et a date not later than I
the first day of December, eighteen hundred and
sixty two (1862), and so much sooner as the line
may be completed and ready for service between
Banbury and Erie. The lessors agree that they
Will furnish every reasonable and proper facility
needed to accommodate the commerce of the city
and county of-Erie, and that the trade of the lakes
and of the land Wall have, in the harbor of Erie,
all reasonable facilities consistent with the MO-
T/eta of the Philadelphia and Erie Railroad Com•
pany, for its interchange front oar to oar, and from
railroad to lake craft, via versa.
Fourth. The lessors to provide such additional
basks, equipment, anti permanent improvements
which are in railway operations on roads similarly
constructed and situated, usually chargeable to
construction and equipment, as the business of the
road from time to time requires.
Fifth. The lessees shall appropriate and apply
so much of the gr . ose revenues resulting from trans
portation of freight, passengers, and mail., that
may yam over the line, over and above the amount
herein provided for so working expenses, to be
paid as follows :
Pint. To the treasurer of the Philadelphia and
Erie Railroad Company, to defray salaries of pre
sident, treasurer, secretary, and agents, office
pants, and other expenses incident to maintaining
the legal and proper organization of the company,
such NUM as the stockholders of the Philadelphia
and Erie Road Company may from time to time
prescribe, not exceeding fifteen tbousand ($15,000)
dollars per annum.
Second. To the interest on first (Ist) mortgage
bonds of one million (1,000,000) denture, seven (7)
per oent., now issued by said company under a
mortgage on that part of the line from Sunbury to
Wilhamsport—seventy thousand ($10,000) dollars
per annum.
Third. To the interest on new mortgage bonds
of live millions ($5,000,000) of dollars, six (6) per
cent. per annum, three hundred thousand ($300,-
000) dollars per annum, or mash per cent. pro rata
thereon as this portion of receipts may realize, not
exceeding six per cent., with such exchange as
may be needed to pay interest in Europe upon the
sterling bonds.
Fourth. If any prOvl6loll or payments are re
quired for sinking fund, in connection with mort
gages, such payment! must be made to trustees
by the lessees, before paying over balances to the
company's treasurer_ The remainder of net
revenue to be paid over to the treasurer of the
Philadelphia and Erie Railroad Company, for the
beardit of the company, until such time as the
mortgage to the Commonwealth of Pennsylvania
may bear interest, at Vhieh date the pay/acute of
that interest will take precedence of payments to
the treasurer, out of any balance that may remain
in hands of lessees, after paying for maintenance
el orgallsatlor, intermit on the first two mortgageri
above referred to; and any balance then remaining,
after paying interest to the Commonwealth, shall
belong to and be paid over to the said Philadelphia
and Erie Railroad Company.
Muth. All the new bonds, or proeseds thereof,
not required to complete and fully equip the road,
including shops, shop machinery, and tools neces
sary to provide for the but Mess of the said road,
shall be retained by the Philadelphia and Erie
Railroad Company, to provide for and be applied
to the extinguishment of their floating debt, and
all other liabilities, without recourse to the lessees,
who shall in no way be responsible therefor.
Seventh. The leans shall provide between kla.

ladelphia, and all other faailities that may be
necessary to accommodate all the traffic of every
'kind to and from the Philadelphia and Eric Rail
road, equal in every respect to the facilities pro
vided for the busthess proper of the Pennsylvania
Railroad Company between the same points, and
use all proper exertions, through an efficient orga•
ideation, to procure business for the same.
Eighth. The aggregate rates for transportation
of through traffis to and from all points of compe
tition accessible or common to both, by all rail,
shell be the Game, and shippers ehalt have the op
tion of route. The lessees shall be entitled to re•
osive on their road between Harrisburg, Rockville,
or Marysville, and Philadelphia, as their propor
tion on all through traffic, (by all rail rontes)—pas•
angers, freight, ac.—the same rate per ton per
mile, and per passenger per mile, Ace., as they
would have received if the traffic' had passed over
the entire length of the Pennsylvania Rail/end,

tion.
Ninth. The local rates of freights and pa-esen•
gers to be divided on a strict pro-rate basis for
distance moved—all business originating at Erie,
or by water to Erie, or at points east of Erie, to be
deemed local business, and trade arriving at Erie
by water, on through receipts, shall be governed
by the rail and water rates, as established from
time to time by the leading Anent:lo lines, with
the consent of the Pennsylvania Railroad Com

Tenth. No discriminations shall be made in the
Movement of traffic, passengers, or freights of any
description. The facilitie: between Liarrisbnrg,
Rockville, or Marysville, and Philadelphia, for
all traffic to and from Philadelphia and Erie
Railroad, shall be equal in every respect, so far
as the business may require it, to those fur
nished for the business proper of the Pennsylva
nia Railroad Company. Passenger cars, baggage,
express and freight oars to be run between Praia•
delphis and Erie without unreasonable tranship
ment or delay, and may be inn by the lames in
like manner on connecting roads to and from New
York or Baltimore, or intermediate points On
those lines. For a ll traffic of the Philadelphia
and Erie Railroad to or from Philadelphia the
respective companies shall furnish their proper.

establish ; but it is expressly understood that tins

Erie Railroad, or that shippers may desire to send
over it, in either direction, shall be so sent; the

expressly understood that all business to or from
Philadelphia to and from the Philadelphia and
Erie Railroad shall pass over the Pennsylvania

may, if they desire to do so, establish a separate
freight and passenger depot in the City of Phila•
delphie, with freight and ticket agents, at their

said depot at the expense of the Pennsylvania
Company;Railroad Provided, said depots are
as convenient of access 1113 those of the Pennsylva
nia Railroad Company proper.
The authorized agents of the Philadelphia and
Erie Railroad Company shall have full power and
authority to solicit for traffic of all kinds—passen
gers, freight, ,to —to and from New York, and
other points east or west of Philadelphia, by snob
route or routes connecting with the Philadelphia
and Erie Railroad, as may offer the greatest teeth

Eleventh. The lessees shall keep an accurate

tion of the president or other proper officer duly
authorised by the Board of Directors of tha Phila
delphia and Erie Railroad Company. Farther,
the lessees, through an officer duly authorized for
that purpose, shall render a monthly account or
statement of the total receipts of the line, which
statement shall be foriaii6d by the twentieth
(20th) of each month, for the month preceding.
The balance due to the lessors over and above the
payments of expenses, interest, and sinking fund,
required to be made by article fifth, (sth,) shall
be paid over to the treasurer of the Philadelphia
and Erie Railroad Company quarterly—say first
of January, April, July, and October, of eaoh year,
reserving the proportion of interest scorning, al
though not due-
In ease of differences arising as to the construe
tion of this agreement, or any portion of it, or the
carrying out thereof, it is agreed that east party
shall "Meet one person of skill and experience in
railwayinanagement, and to the two ao selected
all such differences shall be referred, and their de

In the event of said referees failing to agree,
they, the referees, shall eroleot a third person of
skill and experience in railway management, and
the decision or award of a majority of the referees
shall be binding upon both parties.

have the right to exchange passes with officers of
other lines, and to transport. without charge, all
material, machinery, and other property that may
be required to maintain and operate the line, or

This lease may be altered or amended from time
to time, by consent of both of the parties thereto.
The agreement of the Pennsylvania /Railroad
Company for the payment of interest and pnrcbate
of the bonds of the Philadelphia and Erie Rail-
road Company shall he planed upon sash of the
said bonds so to be endorsed by the Pennsylvania
Railroad Company, as soon as the said bonds shall
be ready for the purpose ; and the endorsed bonds
shall be deposited with trustees, to be seleoted by
both parties, who shall attend to the dispesal of
the proceeds as contemplated by the terms of this
contract.
cEzv~RAL. NEWS.
ON Wednesday, the 6th of November next,
will be held the first eleotion for President and
Vice President of the bogus Confederacy. On that
day also the rebel States are required to elect their
members of Congress. The Presidential electors
will meet in their respective States on the 4th of
December and oast their votes for President and
Vice President. The new Congress will meet if
the Government at Washington will permit, on t he
18th of February, 1862, in 'Richmond, or in some
part of New Mexico. or wherever it is most con
venient and safe Oa the next day the Presi
dential vote will be counted, and on the 224 of
February the President and Vice President are to
be inaugurated, when a good time generally is
antioipated.
IT is supposed by many that the recent ap
pointment of Hon. 0. H. Browning to the Illinois
Senatorship is for the unexpired portion of the
term of the late Senator Douglas—about four years.
This impression is incorrect. The appointment
only covers the period which must elapse previous
to the next meeting of the Legislature of Illinois,
in January, 1882. It will devolve upon the Legis
lature to elect a successor to Mr. Douglas, whose
term expires Maroh 4, 1865.
DEATH 07 JUDGE CLAWSON.—Hon. Wm. S.
Clawson, of the Supreme Court, presiding judge
of the let judicial dietriet of New .1/Bracy, died at
his reeidenoe in Salem on Monday eveeing,after
a short illness. Judge Clawson was appointed to
the supreme bench l by Governor Newell, but had
not been able to fill the position except at inter.

SENATOR DOUGLAS was Initiated as a Free
Mason Jane 3 MO. plumed to the degree of

same month. He was chosen grand orator of the
Grand Lodge at the first annual communication in
IPIO. and wag, the firak grand orator ever shown hy.

Gordon, of the slaver Erie, whioh was seized off
the ooast of Africa" a few months ago, with eight
hundred and ninetg , seren negroee on board, by
the United Stets war vessel Mohitan, le in pro
gums before the United States Circuit Court at
New York.
GARIBALDI'S DAVOlrritit, Tzazinni, Was
married on Sunday, May 26th, to Major Stefano
Cane's, at her father's humble farm•honae, as
Caprera. The next day the couple sailed to
Genea, where the people greeted them with
enthusiasm, and six goring girls, in the name of
all their aex in that eity, erowned the bride with
flowers.
MURDER IN COLUMBUS.—FeIiE Claprood was
brutally murdered in Columbus in a drinking
Wane, by the keeper, David Shade, who ant his
victim's head open with a corn cutter. Shade has
been committed for trial on a charge of murder In
the drat degree.

Scotland, in Canada—was solemnly consummated,

A SOUTHERN INSTITUTION .—The Clarksville
(Tenn.) Chronscis has the following : “Died, on
the Gth instant, and aged 107 years, Xenia, a ser
vant of G. J. McCauley, Esq., of thia county. She
died with a Secession badge pinned to her esti,
attended to the grave by some eighty persona, who
thus bore testimony to a life well spent."

Hon. George H. Pendleton,) died on Saturday, th
16th last , after a lingering illness. Be died of
disease of the heart, and was sixty-eight years old.

Ova Secession troubles are extending a pa
ralyaation of trade to the British Provinces. Last
year the shipment of Nova Bootie plaster amounted
to 13,000 tone; this year it does not reach 1,000
tons. Thousands of tone are lying on the wharf,
utterly worthless.

All our exchanges from this State come to WI
with flattering news of the state of the crops. The
following will nerve as examples. The Philadel
phia Commercial states t
Faom every part of Pennsylvania we hoar
the most cheering of the prospects of an abundant
harvest this season. All kinds of grain look re•
workably well, and thus far is free from any evi
dence of disease or worm. The number of acres
of wheat, corn, and osta, we understand, exceeds
any former year, and, should nothing interpose in
the future, our farmers may anticipate the most
magnificent reward of labors over bestowed upon
them.
JUNIATA. Cour:Tr.—A correspondent in Ju
niata county has written ns that the prospects for
the wheat crop in that vioinity are exoallent. He
says that the By has done bet little damage, and
that the crop will be a good one. For the corn
crop our friend cannot make so good a report, as
the out worm boa done a great deal of damage, and
is still doing much harm, continuing to oat the
third. planting in many plasm—Lancaster Ez
press.
LEBANON COUNTY.—The cereal crops in
Lebanon county, as far all we can learn, aro very
promising. The wheat has improved amazingly,
and where, a few weeks ago, a failure was appre
hended, there is a prospect fora most generouer
yield. The grass oleo looks well, as it oould not
well help doing under the fine growing weather we
have had.
CAMBRIA COmeTr.—Wo have been informed
by BOMBS who have been over the principal por•
don of the agricultural districts of our county,
that there never were finer prospects, at this sea•
son of the year, for an abundant harvest, than at
the present time. From what little we have seen,
we can vouch for the truthfulness of this report.
We have been through portions of Allegheny,
Munster, Summerhill and Cambria townships, and
the prospects for wheat, rye and gram are truly
encouraging. The oats and corn look young, but
healthy; with an average season, our farmers will
harvest a larger amount of these grains than usual.

YORE COUNTY.—The farmers hereabout are
now busily engaged in cutting and making their
hay, the weather being jest such as they need for
that purpose—cool at night and clear and warm in
the daytime. We notice some prime hay in floe
order coming to town daily for oar oitizons, but
have not learned the price per load.. The bay
crop is better than was anticipated —Wrights
ville Star.

tor of the Clarion (Pa.) Bonne, says that the pro
speot for a large yield of grain, in that oounty, h
excellent. He bus been travelling through the
county, and speaks from personal observation.

In pursuance of the provisions of the seventh sootion
of the " Joint Resolution in relation to the Public
Printing;' approved June 23.1860. sealed omPusels will
be received at this ewe until Monday, the Ist day of
July, 1151, at 12 o olook fit, for furnishing the paper that
may be required for the pubic printing for the year
ending on the Ist day of December. 1862.
The subjoined list specifies, as nearly as oan be nicer
buns& the onantity of each kind of paper that will be

10,000 reams fine. printing paper. unoalendered. to
measure 94 by 88 inches, and to weigh fifty pounds to
the ream of 600 sheets.
CLAW 3.
0,900 roman huo printing paper. oolondorod, to MO6 -
sure U by 38 inches, and to weigh fifty-six pounds to the
ream of 600 sheets.
