Your committee hoe been attended in their IneetingS by Mr Tbonl94ln, the president of the Pennsylvania paroled , and by Mr. Morehead, the prenident of the Philadelphia and Erie road; alao, by Messrs Simpson, and Fianlgen, the city directors ate Philadelphia and Ene road, and by Messrs 5,..0 . dv. B o dine, and Kaigbt, the city directors of tie P e nnsylvania Railroad Company. These gentlemen have fully explained the ar csigenient proposed to be made, and each of them big expressed his conviotion that it is one which yield be banefisial to both the Railroads and the c hy of Philadelphia. That it will insure the early c ompletion of the Philadelphia and Erie Road, thus &jog to the city of Philadelphia a large benefit la lira valve which will attach to its two and a quarter millions of stook 'Wrested in the road, and 6 gill larger benefit in the advantages to property and to business which will flow from the com pletion of this Debts thoroughfare from our city to the Lakes. That all this will be effected vat only without peril, but to the great &d -roop of the large investment which the city no in the Pennsylvania Railroad Co. Should this orsogement fail to be consummated, the comple tion or the Philadelphia k Erie road mast moss. wily be postponed to some far-distant day, and the road being now under protest, with very large matured obligations, far the payment of which no provision elan be made, must pass through a theirs sale into other bands, ding utterly de greying the large investment which the city has Already made in its stock. Nor would the Mill chief cease here, since the cities of Baltimore and of New York, by railroad tionneotiona with Harris. berg already existing and In suc c essful operation, night either acquire the control of the road through such sale, or, by arrangements for the esmpletion of the Philadelphia it Ede Road, m ight, if the present proposition fail, assure it now. The advantages accruing to the Pennsylvania Railroad Company from the proposed arrangement. 'midi in se ming for their road the business of the Philadelphia and Erie road from Harrisburg eastward, and from Philadelphia westward to Ear goons, without resorting to a ruinous competition w ith rival roads at that point. It seems apparent to the committee that the arrangement proposed is largely beneficial to the lay, both in her °spirally of stockholder in both these roads. and in those rill granter incidental advantages, which must re mit from the completion of that connection with its Tend ~Eameree of the lakes. The Committee Lava the more reliance upon the eoralluaion they have arrived at since it is the unanimous opinion of the intelligent and experienced gentlemen who sonstitnte the city directorships of each of these TOO, that the propelled arrangement is proper end desirable. They therefore recommend the passage of the following resolution: E.00t50.4.11, the Select and Common Conseil of do city of Philadelphia, That the Mayor of the city be, and he is hereby. authorised and requested to attend a meeting of the stockholders of the Phila delphia end Erie Railroad Company, about to con vene, and alma a meeting of the stooltbehlere of the Pennsylvania Railroad Company, when the same call be called, and which the city, as a stook bolder, hereby requests may be called ; and that at each of said meetings the Mayor shell Vote the nook held by the oily in Hisao roads rarpeatively in favor of a measure which will be submitted by the directors of these respective companies, pro riding for the completion of the Philadelphia and Erie Railroad, through en endorsement of certain of Its bonds by the Pennsylvania Railroad Com pany, and the subsequent leasing of said road to the Pennsylvania Raiirond Company. 14111. called for the reading of the lease, *Meth the clerk read - . . . Mr. N. then took the floor and Inquired whether the Pennsylvania Railroad had the legal authority to punthase the Philadelphia and Erie Road, or take a lease for 000 years, whioh amounts to the rune thing. On page sixth of their charter the privileges and franchisee conferred upon the oom paoy are eonfined to the nee of their own railroad. The general railroad law provides that no com pany eh-l 1 parakeet, or own real estate, erase& mak as may be neoessary or convenient for the making and conetruoting of their railroad A mop- Vemtent to their charter provides that the company say subscribe a capital gook, or gntrantee the Wade of nob railroad companies in other Stater, as they may deem for the interest of their com pany. Mr. Cunu said it was with reluctance that he wee to veal on this 'abject. He held certain professional relations eye UDC of these made, which some rolebt mappens would bias his judgment. He was relieved, bow ever, in knowing that the measure wee not soli cited by the Peunaylventa Railroad. It was not nutil after the Sunbury .t Erie Railroad had ex amined every effort to bring ebony the oomplellen of their road that this props/Wien wax brought be• fore the Peameylvenia Road, and brought into that ebepe from high patriotic considerations, for the trade of the eity of Philadelphia. So far as the in terestsof the Sunbury and Erie Railroad and those of the city of Philadelphia are concerned, this ar rangement will be a benellt to the airy Unless each an amassment la made, the road will not be completed at all. One thing is certain unless this read be eentelated, Philadelpbla will be toles:led in seek a position that Baltimore and New York oats earry away our trade Another reason why the Passiylvenia Railroad should enter into the ar reagememt is, that she secures over 122milee of bet reed the °summons trade of the lakes, which is in tended to pees over the Banbury and Erie Railroad, thereby bringing to this city an increase of rave tee upon the eve millions of stook which the city holes In the Pennsylvania Railroad. If this connection is not made, the Sunbury and Erie Railroad would pus into otter, perhaps wifriend- IT. bands. The two and a quarter millions which the elty has Invested in that road would be swept away, and the trade of the road would be subject to the ordinary rates of competition for trade. What hazard would the Pennsylvania Railroad Company run in mating this connection? They 1 undertake to pay the interest of three and a half I millions of bonds, and the ultimate redemption at its maturity. The Penn alleania Relleold derive the power to make this arrangement from the aide of the Legislature of shit and hat winter. A lease like this must be a lease involving a rut mass of detail The direet ail have said with unanimity in both corpora clone that the lean is desirable to be made and it la also the unanimous deAre of the City Directors ei both roads. in answer to a question, the speaker said that if New York and Baltimore should knock it the door of the Philadelphia and rile flattened they ulnas not r•-jeet it_ The in terest of the road is to get as much trade re porei ras because under the lease they are to be bane ttc4 forty per wont. REBELLION IX ova MIDST---TROUBLE AMONG TUN Swami. Taeoußns.—The very same spirit of insubordination which has given our Federal Go vernment So much trouble, and which will oast the blood of so many noble follows to crush, hen made its appearance in a milder form in our very midst. It appears that the Board of Controllers, at their last meeting, passed two resolutions to the effect that all the schools of the First school district should have but one session from now to the be ginning of the summer emotion ; and that if any teacher should Violate the regulatione of the Board; Me or brr aaliicy would be Forfeited. The directors of the Eighteenth section have given notice to the principais of all the ocheole lu their section that they must hold two sessions, thereby ignoring the action of the superior board, and placing the teachers in the unenviable position of Issitng Otaata& to obey two masters. As the relative position of the two bodies is pre cisely that of on: Federal tiovernment and any State, it would seem hardly to admit of a question to whom obedience is due. But although tt seems thus cleat that die rules of the superior body 228 to be obeyed, it is within the power of the directors to annoy the teachers in a hundred ways; and many of them, to escape these petty annoyances, Will have two resalons in the very face of the regu lation withholding their salary if they do so. Something ought to be done to protect the tesehers from these rebellious directors, and to crush oat this hateful spirit of opposition to good government. Rosscur.—The Catholic Church in Spring Garden meet, below Twelfth, was entered some time during Wednesday night, and robbed of Mansell plate valued at between four hundred and five hundred dollars. It is supposed that entrance was effected by means of false keys.' The seared vessels stolen were of solid silver. They were brought to the Media depot, where they are now awaiting reoog• nition. The night previous to the accident they were in Media, endeavoring to gain employment as shoemakers, in which they failed, and yallief• day morning were on their road to West Cheater. They looked not unlike brothers, both apparently thirty.five years of age, about five feet seven inches in height, brown hair and overdo, dreteed in dark otothea.
