This morning. at a special term or the Untied
States Circuit Court, Judge McCandless read
the opinion of Judge Grier la the case of tae City
of Baltimore vs. the Connelsville and Southern
Pennsylvania Railroad Company. The points

The single question for dscialon In the case Is
correctly stated In the argument of the learned
counsel for the respondenta, as follows
The charter of the Pittsburgh and Cannella-
Mlle Railroad contains the following provision,
viz "If the said company shall at any time
misuse or abuse soy of the privileges herein
granted, the legislature day resume all and an
gular the rights and privileges hereby granted to
such corporation.!
Under this damns the legislature, by an act
poised In 1804, revoked and resumed all and
eingular tne rights and privileges granted to
said company, so far as the same authorized It
to construct any line or lites of railway south
wardly or eastwardly (rum Connellsalle.
Is this repealing act repugnant to the Consti
tution of the United States, on the ground that
It impart the obligation of the contract between
the State and the Company I
The objections made on the alignment to the
form of the pleadings and the right of the com
plainant to have the remedy sought in his hill,
will be found overruled in a similar case by the
Supreme Court. We refer to the case of Dodge
NA. Wolsey, 18th Reward, 3313. In that case the
complainant was a etockholder in the corpora
tion, whose interests were likely to be lei arions•
ly affected by the State legislation If it should be
carried Into effect. In this case the comrdalerant
Is a creditor, who, on the faith of legislative acts
granting certain franchises and privileges to the
Pittsburgh and Connellsville Railroad Company,
has advanced large sums of money, which have
been expended in constructing their road. If
that corporate. submit to thin act of the legit
leisure divesting them of a meet valuable part of
their franchises, the security and rights of the
complainant would be materially Injured. The
bill is In the nature of a bill Tao tenet, and the
complainant bas a right to the remedy sought,
If the Court Would be of opinion that the act of
1884 implore the obligation of the original con
tract or act of incorporation greeted to the Pitts
burgh and Connelisalle Railroad Company.
The only question, then, is as to the validity of
this act. That the act repealing the franchises
of the corporation, or a material part, and trans
ferring its franchesee and property to another
the ob
ligation of the origins! contract, la not and can
not be denied. Nor is it denied that an act
Fronting corporate prirliegea to a tody of men
who have proceeded on the faith of it to sub
scribe stock, and borrow money, and spend It
the construction of a valuable public improve
ment, Is a contract, and that It is not in the power
of Miler party to It to repudiate or annul It
A itbeut the consent 6f the other.
The State claw no sovereign power to repu
diate its contracts or defraud Its citizens• and
the Coustitution delegates no each power to the
Legislature.
If in the act of incorporation the Legislatare
retains the absolice and uneanriffianal power of
revocation tar any or no mums, If it be so writ
ten In the bond, the party accepting a -franchise
on such conditions cannot complain If It be ar
bitrarily revoked I or If this contract be that the
Legislature may repeal the act whew - per in .

its privileges, then the contract constitutes We
Lesielature the arbiter and judge of the exist
ence of that fact.
But the case before 111 comes within neither
category. The contract does not give an uncon
ditional right to the Legislature to repuelata its
contract, nor is the Legislature constituted the
tribunal to adjudge the question of fact as to
misuse or abuse. Moreover, the case before us ad
mits that the condition of facts open which the
Legislature are authorized to repeal the act
does not eXIEL It admits that the corporation
has neither misused nor abused Its privileges, A
cberter may be vacated by the decree of a judi
cial tribunal, in a proper proceeding for that
pm pees, without any such reservation In the act.
There both portico are hoard, and a verdict of a
jury. on the facts, can be obtained, which con
eludes the qutalon. But the Legislature poi
seem:a no Judicial authority under the (Lmetitu.

The party who Is Injured by its action Is not
heard. The reasons usually alleged In the pre
amble to such acts are the mere suggestions of
some Interested party seeking to speculate at the
expense of others ; professional solicitors who
infest the lobby are ever ready, for a sualdent
consideration. to Impose on the good nature of
honest but often careless legislators, by the
annestion of arm necessary falsehood.
If any one should feel cartons as to the
methods need by agents of corporations to obtain
midi legislative acts as may be deelrable, they
will find them fully exposed In the opinion of
the Supreme Court delivered In the ease of
Marshall vs. The Baltimore and Ohio Railroad
Company (16th Howard, 333.)
We do not intend even to Imamate that any

the right of eminent domain, by which the
property of India'ldeals or corporations may be
taken for some poblic use In making ample COM
pensatton. Its oblect is to transfer the franchises
and property of one corporation, an , by
every means In Its power to complete sr - valuable
public bnproyetamt, to another whose in
terest it Is not to complete the road, and who
are not requirett to do so at any time in this or
the next century. Where, in a cam like the
present, the legislature are asked to take the
property of one corporation and give it to an
other, on the monad that one has abused or
misused its privileges, the just and proper mode
would be to peas a matador' ordering the At
torney General to institute the propdr 14- al pro
ceedings to ascertain the fact of "misuse or

The Cambria County Murder—Arrest of
the Alleged Perpetrator
We have already reported the horrible kilitog
of Silas Paul and Miss Monday, of Croyie town
ship, Umbria county, on the nlghtvf the 9th of
June—the former an old maid, suppwei to he
possessed of a large amount of money, and the
latter e girl of sixteen, Ito only companion of
the keener of the hence. Several parties here
been arrested on suspicion, 'tut discharged for
want at evidence .
Shortly after Ibis murder a colored man con
fined In our county Jail informed Warden White
that some weeka before - be overheard two men
who had visited the prison, conieralng with a
cell mate, when they stated that an old lady who
resided in an Isolated part of Cambria catuity,
had a large amount of money in her dwelling,
and as no one lived with her except a young
girl, It could easily be procured. The colored
man did not pay any particular attention to the
conversation at the Omit, but the circumstance
was revived in Ms mind upon hearing of the
murder, when he communicated the above facts
to Mr. White. As the information was cup
posed to be Important, the colored man was In
duced to visit Ream, In his cell in the Cambria
county Jail, at Ebensburg . , butt he felled
to Identify him as either of the - *parties.
The colored man was held In the meantime as
an Important witness, and it still In prison.
District Attorney Noon and Sheriff Mayans, of
Cambria county, while investinating the case,
learned that two men, who weretravelleg through
the country, professedly as cappers and /ambers,
carrying their Instruments in a box, had been
seen near the horse alt the afternoon of the mur
der, and upon tracing. them up, dlecove-od that
they bad left Johnstown for thin city on the suc
ceeding day.. The matter was placed In the
hands of Messrs. Robert Hague and James Rich
ardson, two well known special police of this
city, who at once proceeded to search for the
aupposed murderer.. After opending several
weeks In scouring through this neighborhood,
they received Information that two men answer.

were In search, named John Bowser and Daniel
Rosner, were stopping at a private horise In the
Third ward, Allegheny, and measures were Im
mediately taken for their apprehension. Last

bing a clothing store In Allegheny, were sen
tenced to the Penitentiary fore term of years,
and were only retested from that Institution en
the 17th of May last. It Is alleged that during
their confinement they were Informed by a fel
low prisoner of Miss Paul's defenceless condi
tion, and of the large amount of money which
she was supposed to have In her posuseastam,
when the plot was formed to rob her. A box
answering the demniptlon of that carried by the
persona suspected of being the murderers was
found In the lame where the arrest occurred.
Sheriff Myers arrived in the city yesterday, and
will remove the prisoners to Ebenabarg to-day.
