SHADY SHAKE TRADES.
Bad Charges Against a Corporation
President, Now Eesigned.
TWO COMPANIES ARE MIXED UP.
Mr. Andrews Accused of Eunning-One for
the Other's Benefit.
LITIGATION FOE $3,000,000 TO ENSUE
New YORK, Nor. 24. "Wallace C. An
drews, President of the New York Steam
Company, and until lately President of the
Standard Gas Light Company, is likely to be
involved in a lawsuit with the latter com
pany as to the validity of certain stock
amounting to about $3,000,000, which it is
alleged Mr. Andrews obtained illegally
from the company while he was its Pres
ident. Mr. Andrews resigned ihe Presidency of
the Standard Gas Light Company two or
three weeks ago, and J. A. Bostwick was
elected in his stead. It is said that had not
Mr. Andrews resigned when he did he
would have been expelled from that office
bv vote of the directors. Immediately after
the resignation of Mr. Andrews and the
election of Mr. Bostwick an injunction was
j,-sued on the application of the company to
restrain Mr. Andrews from selling or other
wise disposing of certain of the company's
stock then in his possession. The company
also issued the following notice:
Question having arisen a to the validity
t cei tain common stock of this company,
the Jlo-ml of Dnectors thereof have this day
voted to close the books for the transfer of
common stock pending an examination and
until tiie further order of the board.
The Charge Against Andrews.
It is chareed that $1,000,000 of the 53,000,
000 of the Gas Light Company's stock
which Mr. Audrcws obtained from the
company fraudulently, as charged, is held
by the New York Steam Company, of which
Mr. Andrews is President, and which he is
believed to control. In addition to this
proceeding, it is said another action has
been instituted against Mr. Andrews to re
co er a block of the Gas Light Company's
preferred stock owned by Mr. Andrews, and
for an accounting of certain disbursements
b him as President of the company.
"in tills sui. it is charged that Mr. An
drews has subordinated the interests of the
Gas Light Company to those of his Steam
Heating Company; that many of the poor
in cements of the latter have been charged
to the former, that the unproductive prop
erties of the Steam Heating Company have
been unloaded on the Gas Light Company,
and that these and other things Mr. Andrews
was able to do through the "dummy" direc
tors in the Gas Light Companys elected
through his influence.
J. A. Bostwick, the new President of the
Standard Gas Light Company, was seen at
his home this morning, and spoke very
freely. He said: "I have been connected
with the company from its beginning, but
my vote was alwrys in the minority, and I
gave up attending the directors meetings.
Finally some of their notes were protested.
Ottered to Fay the Company Debts.
"To protect myself and those who had
gone into the concern on account of my
name, I offered to assume all debts of the
company until its affairs could be straight
ened out.
"Mr. Andrews, whose scheme! had far
outrcached his capital, had made contracts
w hich he could not keep. As a result I paid
out nearly $500,000 in 30 days. Much
against my advice, there was $5,000,003
worth of stock issued, which was given to
Andrews and others for distribution. I
had supposed that at least half of this
amount was held in trust for the company's
treasury. "When the new directors were
elected it was discovered that much of this
stock has been sold for insufficient compen
sation, and that the rest was held by three
persons or their estates.
"It is absurd to say that any of this stock
is unaccounted for. We know where every
share is and for how much it was sold.
Theie has been nothing surreptitious about
it. "We simply think these gentlemen sold
the stock for much less than it was worth.
This stock, in its present state, is tainted,
and to protect the public we have issued
the notice closing our bookB for the transfer
of this common stock.
Protecting Prospective Stock Purchasers.
It is possible that Mr. Andrews or any of
the others might sell the shares, v, hen the
buyer would suffer as much as ourselves.
There is no question that Mr. Andrews had
complete control of both the Gas Light and
Steam Companies, but the charge that he
transferred useless real estate from the
steam company to the gas company is not
fair to him. At the time he transferred the
property he unquestionably intended put
ting up gas plants on it."
The Board of Directors of the Standard
Gas Light Company met here to-day. The
Secretary said some action had been taken
relath e to the trouble between ex-Presideni
Andrews and the board, but refused to say
wh3t it was. Ex-President Andrews
was present, and when seen alter
the meeting, he claimed that none but
routine business had been transacted.
A Narrow Escape.
Persons subject to cramps will be inter

A Crash in Plates.
Owing to a fall of our plate shelves in
our warehouse a great many of our new and
choice plates were broken. "Ve offer for a
few days only the broken dozens at half
regular prices. These goods are all fresh,
new goods of this year's importation, and
comprise plates for any course in Coalport,
CrownDerby,Royal'Worcester,Doulton1and
in fact, any of the well known fine goods,
such as we' carry in stock. The sale com
mences Friday morning. November 27, and
will last only'a few days owing to the holi

Gossip rrom-Daniel O'Day.
Daniel O'Day, of the Standard Oil Com
pany, returned to New York last evening.
He said the company had invested a great
deal of money around Pittsburg, and that
he had to come here occasionally to see how
the business was going. The Standard can
now handle 80,000 barrels per day in the
pipe lines frrm the McDonald field. The
question now is whether it ought to be in
creased or not. Mr. O'Day says the output
was keening up wonderfully well, but it
may drop to 20,000 barrels when least ex
pected. He remarked that the Pittsburg
people have no idea of the natural re
sources all about them. He thinks there
is still plenty of gas, but he doesn't believe
this fuel was ever intended for the indus
tries. It is all right for domestic purposes.
He langhedat the newspaper stories printed
about the movements of the Standard man
agers, and he declared their business was
not any more secret than the affairs of other
companies.
Made 8190,000 In Three Tears.
S. S. Marvin, with his wife and son, went
over to New York last evening to eat
Thanksgiving turkey with his father-in-law.
He talked at some length about
Exposition affairs and particularly the
management. Mr. Marvin said he regarded
Mr. Johnson as the best manager in the
country, and the financial men in the com
pany would not allow him to be replaced.
He added that Mr. Johnson would be re
elected and he had consented to stay. Mr.
Marvin claims that all the noise has been
made by people who have little at stake in
the enterprise. In the last three years he
says the Exposition has made $196,000 of a
Erofit. Last year was not up to the mark,
ut he said thev couldn't always expect a
a big, or even the average season. He has
faith in the future of the Exposition, and
there is no danger of the exhibition being
discontinued. '
