position, but when the young woman
beside him rose te get out at Mill
brook, the station just cltywnrd of his
own, she bowed In a friendly manner
and he arose te make way for her, She
had just reached the deer of the car
and was en the verge of alighting when
Tem noticed that a small package,
net the one she bad dropped before, re
mained in the rest she bad just vacated.
Selling It he rose and followed her.
As he was about te thrust the little
package at her, she alighted from the
train, turned her hack, and was hurry.

played him a rather kind turn te leave
him atandlng here at the stntlen in
Allllbroek with the prettiest young
woman he had ever seen.

te help you home," 8ald the girl. "But
both of our cars arc celebrating the
holidays by bclna in the shop for re
pairs. I'd Insist en sending you en

taxis are all out."
Tem Insisted that he was perfectly
content te wait for the next train and
steed bowing as she started walking
off toward her home, mere than a lit
tle disannelnted because she had net
asked him for his name or suggested
that he call en her some time. It
would have been an appropriate re
ward, he thought, for the pains he hnd
been te te nick ud her nacknges.
The train was delayed and Tem Wade
was three-quarters of an hour late in
reaching Glenville. He had just time
te reach home befere the dinner hour.
"Did you get a geed tree?" de.
mnnded hia married sister Susan, with
whom he was making his temporary
home. Tem's face registered Mirprise
and contrition.
"I forget all nbettt it. I remember I
was going te step in the village en the
way home. But I'll go as coon aa we
get through dinner."
Susan looked reproof. "I hope it
won't be tee late. They were going te
held one at Smith's for you te call for
it with the car. But I told them you'd
be there by 4. Yeu can't get back

Then Tem went te the hardware
store ; nil the stores in Glenville were
open till 11 en Christmas eve. There
he bought a sizable ax and an elec
tric flashlight. With these he get in
to his enr and started out country
ward. It didn't much matter which
way he went, he thought, but once en
the highway he took the direction

He went for about seven miles-, driv-
ing slowly nnd peering out en both sides

The Company's factories and home offices are located at
Camden, New Jersey, and it has also contracted for a contreUia
interest in the GRAMOPHONE COMPANY, LTD., of England,
and the Company's products are given world distribution.
The capitalization of the Company is $85,000,000 Common
Stock, Par $100, authorized and outstanding, and $500,000 7
Preferred, authorized, of which only a very few shares are
outstanding.
There has been no declaration by the Company as te the
amount of the dividends that would be regularly paid upon its
present Common Stock, but according te the Company's pub
lished reports for the Seven (7) years ending December 3Ut,
1021, the Company showed approximate earnings of $39,208,685,
of which $17,750,000 was paid in dividends, while $21,458,585
was added te surplus. The dividends paid upon Common Stock
for the present year, 1022, have amounted te the equivalent of
slightly better than $10.70 per share upon the shares offered
herewith. These Seven (7) years include a considerable period
where the VICTOR COMPANY engaged very largely In war work
upon a basis far less profitable than normal operation.
