The fblleiving information has been furnished by Mr. W. F. R. Murrie, President of the Cempany:
Business: The Hershey Chocolate Company is the largest manufacturer of milk chocolate in the
world. Its principal products are the -well-known Hershey Brands of milk chocolate, almond bars
and breakfast cocoa. . .
Security: The bends will be secured by closed. first mortgage en the real estate, plants and fixed
assets of the Hershey Chocolate Company in Pennsylvania and by deposit of all the stocks (except
directors-' shares) of all constituent companies operating in the United States and Cuba. Upen com
pletion of the present financing, neither the company nor any of its constituent companies will
have outstanding any ether funded obligations.
In the mortgage under which the, bends are te be issued the company will covenant, among ether
things, that it will net declare or pay any cash dividends en its common stock until at least
$5,000,000 principal amount of these bends shall have been retired and that, thereafter, it will
net at any time during the life of these bends pay any cash dividends upon its common stock if at
that time net current assets shall amount te less than 50 of the amount of the outstanding bends
or if by such payment such net current assets would be reduced te an amount less than 50 of
the outstanding bends.
Purpose of Issue: The proceeds of this issue will be used te retire the existing first mortgage 6
bends of the company, pledged under an outstanding issue of Hershey Chocolate Corporation
first lien 7'2 ten-year sinking fund geld bends, which will be called for redemption December
1, 1922, for additional working capital and te fund floating debt of certain constituent companies.
Assets: Applying the proceeds of this issue, together with estimated earnings of the company, it is
expected that the consolidated balance sheet of the company en December 1, 1922 (after redemp
tion of the existing first mortgage bends), will show net tangible assets, after deducting all liabili
ties ether than this issue, of $32,688,442, or mere than twice the amount of these bends.
Inceme: The consolidated net income of the Hershey Chocolate Company and its constituent com
panies for the eight months ended August 31, 1922, after depreciation, but before interest and
Federal Taxes amounted te $3,528,000 or ever 5.88 times interest requirements en these bends
for such period. Fer the seven years ended December 31, 1921, the average annual net income
amounted te ever $3,400,000 or mere than 3.77 times the annual interest requirements en these
bends.
