COMPANY, incorporated in 1895, is one of the largest manufacturers and dealers in its lines,
being engaged directly or through subsidiaries in the manufacture of fertilizers, sulphuric
acid, cotton seed products and edible oil products and the mining of phosphate rock.
PURPOSE: These proposed $22,500,000 new First Mortgage Bends and $12,500,000 Converti
ble Bends are te be issued te purchase or retire at or before maturity the existing $25,401,000
funded obligations and te provide additional working capital.
SECURITY: Te be secured in opinion of counsel by a direct first mortgage en all the Company's
real estate and plants and by pledge of all the $10,000,000 par value stock of the Southern
Cotten Oil Company and by stocks of ether subsidiary and affiliated companies. The physical
properties and stocks te be pledged are conservatively valued at upwards of $45,000,000.

as planned, are conservatively valued at about $80,000,000; the consolidated net quick
assets alone en this basis exceed $30,000,000.

total Series "A" Bends issued, from October 1, 1923, te October 1, 1932, inclusive, and 2'i
