The Paris-Lyens-Mediterranean Railroad Company, which is by far the largest railroad enterprise in France,
owns nearly 25 of the French bread gauge lines. The Company has outstanding Debenture Bends te the amount of
Frs. 8,065, 800,500 and 5,000,000, none of which carries any special security, nor is any part of the System or its rolling stock
mortgaged in any way.
Before the war the Company was se successfully operated that dividends in excess of the 11 en the Common Stock
which the Frencli Government guaranteed under the Convention of 1883, were paid out of earnings.
On June 28, 1921, a new Convention between the French Government and the larger railroad companies was entered into,
approved by Law, dated October 29, 1921, establishing a "common fund" te which the railroad companies shall turn ever any
balance of their gross receipts available after providing for all operating expenses, service of their leans, a fixed amount for
dividends en their stocks, a variable "operating premium," etc., while, if the gross receipts of a railroad should be insufficient
te meet these charges, there will be paid te the railroad out of the common fund any balance required for such purposes.
The' Government of the French Republic has undertaken te provide the "common fund" with any sums by which
its receipts should fall short of its requirements; provided, however, that if the Minister of Public Works se requires, the
railroads will issue bends for such purposes, the Government of the French Republic guaranteeing the interest, amortiza
tion and actual expenses of the service of such bends until paid.
Tn case of repurchase of the concession of the Company by the French Government before its termination, said Gov
ment has undertaken te indemnify the Company by the payment of annuities which will be sufficient te provide for
service of interest and amortization in respect of the bends of this lean then outstanding.
The Company covenants, and the bends will se state, that se long as any of the bends of this lean are outstanding,
it will net be instrumental in, or give its consent te, any change in the aforesaid Convention .which would curtail any
security, guaranty, benefit or advantage accruing te the Company in respect of the bends of this lean or through the Com
pany te the holders of the bends of this lean under aforesaid Convention or aforesaid Law.
The Company further agrees, and the bends will se state, that se Igng as any of the bends of this lean shall be
outstanding, it wQI net create any mortgage, lien or ether charge upon any of its properties or revenues, or en any of the
rights, benefits or advantages accruing te it under said Convention and said Law, unless such mortgage, lien or charge
shall expressly provide that the bends of this lean outstanding shall, ratably with any ether indebtedness which such
mortgage, lien or charge may be given te secure, be entitled te the security afforded by, and be secured by such mortgage,
lien or charge. w
The Company has obtained assurance from the Government of the French Republic that, while any uf the bends of thi-
issue arc outstanding, no obstacle will be placed in the way of the Company regarding, the purchase and remittance of the
necessary funds te enable the Company te fulfill its obligations in respect thereof.
The proceeds of this issue will be utilized for purchases of rolling stock, for the electrification of certain lineb and for
ether improvements.
The present lean and 5,000,000 6 Sterling Bends of the same type as this Dellar issue quite recently issued in
Londen with marked success at 85 and new selling at 90, form the only outstanding external long term debt of
the Company.
