Gentlemen ; 1 have been instructed
"by your Directors to la' before you
'tlio following information, and request
a't early reply to the proposal accom
panying it.
At the Annual Meeting of the Stock
holders, hold January 24th, 160, a
resolution was passed instructing the
Board of Directors to have an inter
view with the parties pressing their
claims against the Company, with a
view to tho postponement of a salt oi'
the Koad, and an amicable settlement
less prejudicial to the Stockholders
than by a salo.
Jj agreement with the Bondhold
ers the sale has been postponed, and
the following proposal will be held
open for j-our acceptance until March
2Uth, 1800.
The parties have agreed to appoint
a Trustee, in whose hands shall be
placed the stock by the Stockholders,
' and if all'thc stock isthus placed by the
time named', the Trustee will then be
placed in possession of an amount of
Bonds to te taken up and canceled in
xchango for the stock, equal at par
to the valueof nine-tenth of the Slock.
The remaining one-tenth of the Stock
to be returned to the Stockholders in
the proiiortion of one share for each
ten shares, placed by the holder in the
hands of tho Trustee and for nil pro
portions not divisible by ten in cash
for tho proportion,at theralo of three
' -dollars per share.
Should this be done, then the Bond
holders agree to receive Stock at par
from the Company, for the remainder
of their claims.
