To the Connclle of the City of Philadelphia. Gentlemen: The undersigned, representatives of the city in the Philadelphia and Erie Railroad Company, would respectfully state that there are two or three important considerationa which in duce them to urjee upon your honorable body a favorable consideration of the proposed merger or consolidation of the Warren and Franklin Kali way Company with the Philadelphia and Erie road. First. We dpem It highly Important and essential that the Philadelphia and Erie road shall secure and permanently retain Ita trade with the oil region of Pennsylvania through which the "Warren and Franklin road passes, so that it oannot possibly be diverted from It by any rival road; and we do not tee bow this can effectively be done unless by owning and controlling the road. That the busluess of this region la of great impor tance will be apparent from the fact that about one-fourth of the entire business ot the Phila delphia and Erie road since the completion of the Warren and Franklin road has come from the latter road, and this business must from time to time continue to Increase very largely, from the fact that within the last two weeks, through the exer tion! of the Warren and Franklin road, an ar rangement has been made with the Farmers' road, running from Oil City to Petroleum Centre, which gives the Werren and Franklin road virtual con trol of the business of that road tor five years to come, if the proposed consolidation with the Phi ladelphia and Erie road shall be consummated. In securing the trade ot this road they had to con tend with a most powerful New York Interest, viz: the New York Central, the Atlantio and Great Western and the Erie Railway Companies, which interest now controls the Oil Greek road, and by their Croaa Out Railroad, recently finished, en deavored to get entire control of the Farmers' road and that portion of the oil region, but in which they have been eheckmated by the Warren and Franklin Company, in the arrangement to which we nave alluded. Another consideration ia the fact that by the coming winter the Allegheny Valley Railroad will be finished to Oil City, where it will oonneot with the Warren and Franklin road, and then, unless that road la controlled by the Phi ladelphia and Erie, its business may be diverted to Pittsburg, or elsewhere, instead of coming to Phi ladelphia over the Philadelphia and Erie and its connecting roads, and this most assuredly will bs the result if the Warren and Franklin road shall fall into the hands of adverse interests. It does appear to ua that thete considerations are too im portant to be overlooked or lightly considered, For the last five years the business of this region of our (state baa been strongly contested for by New York interests adverse to oar State, and in this contest they have succeeded only to a limited extent, in which they would have been entirely successful but for the building and completion of the Warren and Franklin road; and ao exceedingly Important did the projectors of that road consider ita speedy completion as bearing upon the in terests of the Philadelphia and Erie, and other railroad Interests of our State, that this road, Of about b'i miles in length, was completed and put in operation In the short space of eight months, from December '65 to August '60, and notwithstand ing this road was completed in this short space of time, and during the nigh prices and severe winter of that period, its cost does not vary 8400 per mile from the cost of the Philadelphia ana Erie road. And ao important did the Philadelphia and Erie road consider the construction of the Warren and Franklin road in reference to their own Interests, that at a meeting of their stockholders.held for that purpose, it waa unanimously decided by a vote of shareholders to Indorse the mortgage bouds of the Warr. n and Franklin Company to the amount of 25,000 per mile, or an aggregate of Sl,3u0,t 00. The entire cost ot the Warren and Franklin Railroad is represented as follows, viz: 1st mortgage bonds, ... $1,300,000 Stock au.OCO shares, ... 1.4U0.0OO Sid mortgage bonds, chiefly used to farnlBb. equipment, sidings, depots, shops, 4co., 700,000 Total cost of road and equipments, 83,400,000 Which is about bS,li00 per mile, with ita engines and cars, and tbe cost of the Philadelphia and Erie was 818,700,000, or 5,000 per mile, without any equipment. Both companies are entirely clear of floating or debts other than those stated. There la another important consideration which has had mnch weight with us as Directors for the city la coming to the conclusion we have upon this sub ject. It la the fact that neither the Warren and Franklin nor the Philadelphia and Erie Company can separately enter into and keep up successfully a contest with strong rival roads for the valuable petroleum and other trade of this region of our State; but with one combined interest, and the aid, also, of our powerful lessee, the Pennsylvania Railroad, we can then successfully contend with all rival Interests lor the trade of thia important section of our commonwealth. Under these con siderations, and believing that the beat interests of the Philadelphia and Erie road, and also the large Interest of the city in the Pennaylvanla Central, will be vastly promoted by tbe proposed consoli dation or merger of the Warren and Franklin Railway Company, we would respectfully nrge your honorable bodies to appoint a suitable com jnlttee, which, in conjunction with the Mayor, shall, after lull examination of the subject, vote the stock of the city for or against consolidation, as in their judgment may best promote the inter ests of the city of Philadelphia. In re ply to tbem I have only to say that if gen tlemen can find any pleasure, or can ieel It to be their duty to use such language in reierence to It, they are welcome to the plea sure and privilege. I have done what I con sidered to be my duty, sir, and in doing "bare been governed solely and entirely by what I think Is for the best Interests of the Philadelphia and Erie and the Pennsylvania Central roads, and the business Interests and prosperity of the city of Philadelphia. I am not Interested to tbe amount of a dollar (and I can say the same for my col league, Mr. Norton,) in any manner or form in the Warren and Franklin road, either directly or In directly, remotely or contingently, but 1 am in terested In the Philadelphia and Erie road and Its prosperity, and as a citizen and taxpayer of Phlla delptla,am also Interested in the well-being and prosperity of our city. I have resided here twenty-live years, and contributed In my humble way, as far as 1 could, to its advancement and pros perity, and should be sorry, sir, at this late day to advocate Its connection with a creditless or worth less corporation. I have said that in my support of this measure I have been governed by the belief and opinion that it will be for the best interests ot tbe Philadelphia and Erie and the Pennsylvania Central roads, and I am free to say here that in that belief and opinion I am sustained by the om cers of both thobe roads, and I should be sorry to think, sir, for a moment, that eitber of those gen tlemen would advocate or sustain a measure which they did not believe would advance and promote the great interests they represent. Now, Mr. Chaiiman, a word or two more and I am done. It has been represented, sir, that tbe stock of the Warren and Fraukllu road waa Issued and nothing ever paid for it. He la opposed to exchang ing his Warren and Franklin stock for Philadel phia and Erie, as he considers that the f irmer Is a tar better Investment to him for the f autre ttmn the latter would be. He feels assured that the stock of the Warren and Franklin road will pay a dividend mnch sooner than tbe stock of the Philadelphia and Erie will, and I am free to express the belief that the present position and business Indications of tbe two roads will justify him in his opinion. And yet this road Is denouueed aa a worthless" and credltless" corporation a road that la now carrying on an average more than aooo barrels of oil per Uny, besides Its merchandise and pissenger traf fic a road which Is giving to tbe Philadelphia and Erie nearly one-fourth of its entire business, and this, too, when, aeevery one knows, the oil Interest Is more depressed than it ha been for years. I am not here, Mr. Chairman, to defend tbe War ren and Franklin road, or the gentlemen connect ed with it; they are able to defend themselves. 1 apprehend, it any defence is necessary; but I am here to defend my action as a director of the Phila delphia and Erie road, and a warm and zealous lrlend of tbe Pennsylvania Cential. But, sir, I owe an apology to this meeting for occupying so much of their time. Tbe Common Couucll have eppolnted a committee to examine this t abject, and 1 hope and trnst they will mrke a thorough exami nation ot it; I hope ihey will do as 1 have done: go up and examine tbe road and the busy region through Which it passes; let them look at It In all its hearings; ita present conneotiona with other roads, and the future connections which may be made with it. Let tbem examine, also, (because it bears strongly upon this question,) tbe rival rail road interests of that section converging and tend ing to this point, with a view to obtain and con trol, if possible, the valuable trade of this region. Let tbem, I say, make such a thorough examina tion of it, and 1 venture tbe prophecy they will re port that tbia road ia not the worthless and credit less corporation it has ben charged to be. General Wlster then said that under the lease by ibe Pennsylvania Railroad Company oi the Phila delphia and Erie Railroad Company, the former maintained the latter road, paid all ita running ex penses, and retained seventy per cent, of the gross earnings of the Philadelphia and Erie. Would the merger of tbe Warren and Franklin with the Philadelphia and Erie place the former under tbe superintendence of the Pennsylvania Railroad Company in a similar way ! Would the consoli dation, ltetiected, make the lease by the Pennsyl vania Central Railrond of the Philadelphia and Erie applicable to the Warren and Franklin Rail road'l If so, here is cause for consideration. It might be an Item of interest to the Philadelphia and Erie to retain a larger share of the receipts of the Warren and Franklin Railroad than thirty per cent. Mr. He'nry D Moore said that if the merger were eflected the Pennsylvania Railroad Company would maintain the running expenses of the War ren and Franklin. Rut these expenses are propor tionately less in the latter than the former oase. Therefore It la understood that If the two roads are united, a heavier proportion than thirty per cent, of the receipts of the Warren and Franklin R til road will be retained by the Philadelphia and Erie. At least this will be the aim and purpose of the directors ot the latter company. Mr. Win. 6. Lane said that City Councils had appointed a committee to consider the proposed merger. That committee will, doubtless, make a full Investigation of the case. He hoped that they would do so, and would vIbU Venango county for personal inspection of the Warren and Franklin Railroad. To enable the committee to fully in quire Into the merits and demerits of the case, Mr. Lane moved an adjournment until Octooer 4 in. This was agreed to, and the meeting adjourned.
