To MaJorGeneral George G. T he subject you Bubuilt to me ban, before this, been presented to me by Mr. Kemble, the Htate Treasurer, and by (General Sickel. Tbe papers you send roe have been examined by me. I have bIho seen and read an advertisement of the scheme of the Hoard of Super visors ol your Incorporatlou, aud published la differ ent papers of Ihls city. Kroni ibe foregoing papers Bnd from the narrative ontalned in your letter, 1 have arrived at the follow-toK.coiirliii.loni.:- ..,. The q n eel " i1"!' Second. Tbe acis ot thelirsl meeting were not legal. A majority of the corporators were not present, and the statute does not give authority to a corporator to delegate his power to nny one Third The supervisors having been created at the first meeting, wire created by those who had no power to create them, nnd 1 will further add that bad the meeting been properly and legally held by the corporator, they could not ,hae created such a body ot supervisors and given to them the power that Is given to them by the by. laws, and surrendered to them tor a consldenuini all of the Important franchises of the corporation. Among the supervisors choHen there Is not onent the original - corporators selected by the Legis lature, but there are men who have been long known as lottery venders and whose names are notoriously connected with lottery grunts lu other States. Fourth. I have read the statute; I have read the minutes; I Have read the by-laws; and I have read the prososed scheme, aiiu It Is my opinion that the atatuie toes not authorize any suoh scheme; and as Attorney-General I request you, as the 1 resident or the corporation, to give these corporators notice that I will resist the execution of that scheme by prompt teileve niave substantially complied with your TeaufSU At your propiBed meeting on Tuesday you can treat the former action of the nilnorhy ot the corporation as anull.ty, as all thatwasdone by them was Illegal, and you can then proceed to regularly and legally organize your corporation, and execute the powers expressly given by the charter to do a lawiul aud proper thing In a lawful and reputable W?f you require any further advice from me, do not hesitate to call on me. I thank you for your courtesy, and for the nice sense of publloduty that Induced you to apoenl to the law officer of the Commonwealth to lielp you hlnner a proposed wrung under color of law. I have the honor, sir, to be respectfully yours, BENJAMIN HARRIS BREWSTER, Attorney-General. OHl! OPINIONS OF SAMUKt, C. PERKINS AND (I, W. U1UULE, KSQ.S. To the Gettysburg Asylum for Invalid Soldiers: There have beeu submitted to us, by members or the Corporation, a letter dated the 4th instant, addressed to Brigadier-General H. G. Sickel, Treasurer, by Hon. Benjamin Harris iirewster the Attorney-General, together with the Act ot Incorporation, passed by the legislature and approved by the Governor March 8, 167; also the minutes of the meeting for the organiza tion of the Corporation, and the By-Laws adopted tor its government. There Is a perfectly plain legal method of test ing any one of tbe questions involved in the letter ol the law officer of the Commonwealth, or which tie may desire to raise under this Act of Assem bly, and we cannot but express our surprise that the public press should nave been nrtde the vehicle of attack upon the corporation and individuals connected with it, instead of resort being had to the courts of Justice. We are further of opinion that the character ot some of the articles which have ap peared in print are essentially libellous. Our advice is that tbe Corporation and Its officers go on under the act, and use all such legal remedies tor the maintenance, defense, and protection of their rights "as may from time to time fipem exned en '-, Very respectfully, SAMUEL C.
