ABS Goes Global, May Offer Public Stock

Global Inc., the division of the
newly created Protein Genetics
Inc., recently held an internal
“toasting” reception to commem
orate the new beginning of histo
ry making since its recent sale
from W.R. Grace & Co.
“It is a happy ending and fresh
beginning,” said Jack Shelton,
president and CEO of ABS Glob
al Inc.
“I think for the ABS employ
ees and representatives, it has
been a long, trying year, and
they’ve all delivered what was
needed - dedication and addition
al aggressiveness.
One of the most significant
inspirations throughout the
divestment though, was the
tremendous dedication and
patronage of our customers, both
in the U.S. and internationally,”
Shelton said.
W. R. Grace & Co. purchased
American Breeders Service
(ABS) in 1967. During July 1993,
Grace announced its corporate
business plan of focusing solely
on its core businesses of specialty
chemicals and human health care,
thus placing ABS on the market.
With a primary goal of mar
keting ABS toward the end result
of both receiving a fair market
price and positioning ABS in a
new management environment
that could support the ABS busi
ness plan for continued global
growth, Grace held discussions
with several strategic interests.
These parties did range from
other artificial insemination (A. 1.)
organizations to private business
intqfests, all with varied objec
tives for ABS’s future.

true passion for the industry and
the principles ABS was built
from,” Shelton said. While the
Ardshiel group owns the majority
of the new ABS Global Inc., sig
nificant investments were joined
with various ABS representa
tives, employees, and strategic
'partners.
“Our long-range plans for
ABS are the same as for all the
companies we invest in - to build
and grow it,” said Geoffrey Gor
man, one of Ardshiel’s managing
partners.
He added, however, that, “We
believe ABS is an ideal candidate
to go public within the next two
to five years. A public offering
would accomplish the dual objec
tive of creating a market for the
stock of ABS owned by manage
ment, while permitting us and our
investors to maintain our invest
ment position.”
Over 60 employees, sales reps
and international distributors
invested and own stock in ABS.
Gorman said, “We believe in
ABS’s position as the pre-emi
nent supplier to its industry and a
superior alternative to the cooper
atively run and government regu
lated A.I. organizations which
compete with ABS around the
world.”
“It is a celebration of three
years of struggles, successes, and
enormous odds,” Shelton said.
Shelton, who had worked with
Grace through other corporate
divestments prior to joining ABS
in 1991, said, “It was the toughest

his plans to transition with ABS
following the divestment of the
company from W.R. Grace, and
remains in his leadership position

Genetics Inc., to acquire two
Grace businesses, ABS and Grace
fertilizer companies.

genetics and marketers of related
breeding and animal health care
products sold to the dairy and
beef industries.
