On November 3, the Holly Farms Corporation board unanim ously recommeded that stockhol ders reject Tyson Foods Inc.’s $52 per share tender offer commenced on October 21 and not tender their shares. Holly Farms said the board determined the offer inadequate and not in the best interests of the company and its stockholders. In reaching its decision, the board was assisted and advised by the company’s financial advisor, Mor gan Stanley & Co. On November 4, Don Tyson of Tyson Foods requested negotia tion of acquisition.
