The one board, one
management concept of
reorganization of the United
Dairy Industry Association
(UDIA) family which includes
American Dairy Association
(ADA), National Dairy Council
(NDC) and Dairy Research Inc.
(DRINC) became a reality May
15 when the UDIA Board of
Directors adopted new by-laws to
implement an earlier decision
that was taken at the Annual
- Meeting in February
Prior to the UDIA Board ac
tion. the Boards of ADA, NDC
and DRINC voted unanimously to
support the action, and agreed to
amend their by-laws to bring
them into conformity with the
new UDIA by-laws
Principal purpose of the
reorganization is to unify the
national programs of promotion

Dairy Boards Reorganize, Amend By-Laws
for milk and .dairy products and
to guarantee that American dairy
farmers get the most possible out
of their promotion dollars, ac
cording to Glenn Lake, UDIA
President
The new by-laws, which
became effective immediately
upon adoption, provide for a
House of Delegates which has the
primary responsibility for
determining and establishing
overall goals and objectives It
also is responsible for reviewing
and approving the budget and
program plans, determines the
national program assessment
rate, evaluates the effectiveness
of the activities of the
Association, as well as its
management, and provides for
the development of operating and
fiscal procedures. The House of
Delegates replaces the present
Board of Directors and will in
clude representatives of
processors, handlers and
equipment suppliers, as well as
dairy producers in accordance
with a formula included in the by
laws
A 24-member Board of
Directors also is provided for
which will be elected by the
House of Delegates from among
its membership. This Board
replaces the former UDIA
Executive Committee. Provision
is made for non-producer
representation on the Board in
proportion to non-producer
membership in the House of
Delegates.
At the Annual Meeting each
year, the new Board of Directors
will elect, from among its
membership, a President, one or
more Vice Presidents, a
Secretary and a Treasurer who
will serve for one year Officers
may serve successive terms, as
may members of the Board and
House of Delegates.
While the by-laws became
effective immediately, the
enabling resolution provides that,
until the next Annual Meeting,

the existing officers shall con-
tinue to serve, the existing
Executive Committee shall
become the new Board of
Directors, and that the existing
Board become the House of
Delegates.
Preservation of the corporate
identities of ADA, NDC and
DRINC is provided for The new
UDIA Board now serves as the
governing Board of ADA and
DRINC, replacing the previous
separate Boards In the case of
NDC, a 30-member Board is
provided for which will consist of
15 producer members from the
UDIA Board and an equal
number of non-producer
representatives
The governing Boards of ADA,
NDC and DRINC will elect their
own officers, but no one person
will be permitted to hold more
than one office ADA, NDC and
DRINC, as well as UDIA, no
longer will have Executive
Committees
The chief executive staff of
ficer of the combined
organization will be an Executive
Vice President This post is now
vacant and a search for a suitable
person to assume this respon
sibility will begin immediately.
His overall responsibility will be
to direct the operations and
administration of the Association
to implement the policies and
procedures established by the
UDIA Board and House of
Delegates. He also is responsible
for the development and sub
mission of recommended
program plans and budgets and
for accountability and control of
the finances of the Association.
Within the policies and
guidelines approved by the
Board, he is responsible for the
organization, structure and
staffing of the Association, in
cluding the defining of duties and
responsibilities and the ap
pointment, compensation and
continuance in employment of
the executive staff.

The concept of a single board
and a single management for the
UDIA family grew out of a study
made for UDIA by the
management consultant firm of
Booz, Allen & Hamilton. This
concept was approved in prin
ciple by the UDIA Board at its
Annual Meeting m February, and
the UDIA Executive Committee
was instructed to draw up
detailed plans of implementation
for consideration by the full
Board at the May meeting At the
same time, the UDIA Executive
Committee was expanded to
include the four highest elected
officers each of ADA, NDC and
DRINC instead of the one highest
elected officer as previously.
This action was taken to give
greater representation to the
viewpoints of these three
organizations in drawing up the
plans for restructuring the group
At a meeting in March, the
UDIA Executive Committee
appointed a Reorganization
Committee, which drew up a
statement of basic principles for
the reorganization. With certain
modifications, this was approved
at an April meeting and became
the basis for the draft of the new
set of by-laws
The UDIA House of Delegates
will meet next on September 17,
by which time it is expected that
the by-laws of ADA, NDC and
DRINC will have been amended

by-laws, and that recom
mendations will have been
developed for organizational
restructuring of the functional
areas and staff as well as 1974
program proposals and future
goals.
Among the initial plans for
unification are to obtain
agreement and proceed with
centralization of program
coordination and control; budget
development and financial
control, administrative services;
accounting; data processing;
housing; warehousing and
shipping of promotional
materials; communications, and
others Some of these activities
already are at least partially
centralized
